Common use of Landlord’s Indemnity Clause in Contracts

Landlord’s Indemnity. Landlord shall indemnify, defend and hold Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, to the extent attributable to the negligence or willful misconduct of Landlord or its agents or employees.

Landlord’s Indemnity. Landlord shall indemnifydefend, defend indemnify and hold save harmless Tenant harmless from and its agents and employees against all Losses incurred by Tenant arising from any accidentcosts (including, without limitation, reasonable attorneys’ fees), damages or claims whether for personal injury, bodily injury or damage whatsoever property damage, during the Term of this Lease, occurring in the Building, if caused to any person by an act or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, to the extent attributable to the negligence or willful misconduct of omission by Landlord or its agents or employees, arising out of Landlord’s operations or Landlord’s use or occupancy of the Building.

Landlord’s Indemnity. Landlord shall indemnify, defend (with counsel reasonably acceptable to Tenant) and hold harmless Tenant harmless from and against any and all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, Claims to the extent attributable arising out (a) any breach or default by Landlord of any covenant or other obligation to be performed by Landlord pursuant to this Lease; or (b) the gross negligence or willful misconduct of on or about the Premises by Landlord or its agents or employeesany of the Landlord Indemnified Parties.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas (specifically excluding the Ancillary Buildings, Premises) to the extent attributable to the gross negligence or willful misconduct of Landlord or its agents employees or employeesagents.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by claims against Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, Building (specifically excluding the Premises) to the extent attributable to the gross negligence or willful misconduct of Landlord or its agents or employees.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by claims against Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, to Building (specifically excluding the extent attributable to Premises) not resulting from the negligence of Tenant, its contractors, licensees, agents, servants, employees, invitees or willful misconduct of Landlord or its agents or employeesvisitors.

Landlord’s Indemnity. Landlord shall will indemnify, defend defend, protect and hold Tenant and its trustees, members, principals, beneficiaries, partners, officers, directors, employees, and agents harmless from and against all Losses incurred by Tenant any loss of or damage to any property and any injury to or death of any person arising from any accident, injury or damage whatsoever caused to any person occurrence in the Building or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary BuildingsCommon Areas, to the extent attributable to caused by the negligence or willful misconduct of Landlord or Landlord, its agents or employees.

Landlord’s Indemnity. Landlord shall indemnify, protect, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas (specifically excluding the Ancillary Buildings, Premises) to the extent attributable to the gross negligence or willful misconduct of Landlord or its agents employees or employeesagents.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas and, with respect to claims for personal injury, the Ancillary BuildingsPremises, to the extent attributable to the gross negligence or willful misconduct of Landlord or its agents employees or employeesagents.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas (specifically excluding the Ancillary Buildings, Premises) to the extent attributable to the gross negligence or willful misconduct of Landlord or its agents employees or employeesagents.

Landlord’s Indemnity. Landlord shall will indemnify, defend defend, protect and hold Tenant and its employees, contractors, and invitees harmless from and against all Losses incurred by Tenant arising from any accident, injury loss of or damage whatsoever caused to any person property and any injury to or the property death of any person arising from (other than Tenanti) any occurrence in or about Premises or the common or public areas of the Ancillary BuildingsCommon Areas, to the extent attributable to if caused by the negligence or willful misconduct of Landlord or Landlord, its agents or employees.

Landlord’s Indemnity. Except to the extent of any negligent or -------------------- intentional acts of Tenant or its agents, employees or contractors, Landlord shall indemnify, defend and hold Tenant harmless from and against any and all Losses incurred by Tenant loss, cost, claim, demand, action and cause of action of every kind and nature arising from any accidentout of (i) the ownership, injury or damage whatsoever caused to any person or management, maintenance and operation of the property of any person (Shopping Center other than Tenantthe Premises, and (ii) any default or breach in or about Premises or the common or public areas performance of the Ancillary Buildings, to the extent attributable to the negligence or willful misconduct of Landlord or its agents or employeesLandlord's obligations hereunder.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas (specifically excluding the Ancillary Buildings, Premises) to the extent attributable to caused by the negligence negligent acts or willful misconduct of Landlord or its agents employees or employeesagents.

Landlord’s Indemnity. The Landlord shall indemnify, defend and hold harmless the Tenant harmless from and against any and all Losses incurred by Tenant arising from any accidentliability, loss, injury or damage whatsoever caused including (but not limited to) demands, claims, actions, fees, costs and expenses (including attorney and expert witness fees), arising from or connected with the Landlord's repair, maintenance and other acts and omissions arising from and/or relating to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas Landlord's ownership of the Ancillary Buildings, to the extent attributable to the negligence or willful misconduct of Landlord or its agents or employeesPremises.

Landlord’s Indemnity. The Landlord shall indemnifyagrees to indemnify and save -------------------- harmless the Tenant and the agents, defend servants and hold employees of the Tenant harmless from and against all Losses incurred by Tenant arising from any accidentand all claims for personal injury, injury death or damage whatsoever caused to any person or the property of any person (other than Tenant) damage, for incidents occurring in or about Premises the Premises, Building or the common or public areas of the Ancillary Buildings, to the extent attributable to Property and caused by the negligence or willful misconduct of Landlord or Landlord, its agents or employeesemployees (whether or not acting within the scope of employment).

Landlord’s Indemnity. Subject to the provisions of Section 11.2, Landlord shall indemnify, defend and hold harmless Tenant harmless and each of the Tenant Parties from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas (specifically excluding the Ancillary Buildings, Premises) to the extent attributable to the gross negligence or willful misconduct of Landlord or its agents or employeesLandlord Parties.

Landlord’s Indemnity. Landlord shall indemnify, defend indemnify and hold save harmless Tenant harmless from and against any and all Losses incurred by liability, liens, claims, demands, expenses, fees, costs, fines, penalties, suits, proceedings, actions and causes of action of any and every kind and nature arising or growing out of or relating to a breach of Landlord of its obligations to Tenant arising from any accidentpursuant to this Lease, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, to the extent attributable to the gross negligence or willful misconduct of Landlord or its agents or employeesLandlord.

Landlord’s Indemnity. Landlord shall will indemnify, defend defend, protect and hold Tenant harmless from and against all Losses incurred by Tenant any loss of or damage to any property and any injury to or death of any person arising from any accident, injury or damage whatsoever caused to any person or occurrence in the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary BuildingsCommon Areas, to the extent attributable to caused by the negligence or willful misconduct of Landlord or Landlord, its agents or employees.

Landlord’s Indemnity. Except to the extent caused by the negligence or willful misconduct of Tenant or Tenant’s employees, contractors, invitees, subtenants or assignees. Landlord shall will indemnify, defend defend, protect and hold Tenant harmless from and against all Losses incurred loss, cost, damage or liability caused by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, to the extent attributable to the negligence or willful misconduct of Landlord or Landlord, its agents or employeesemployees which occur on the Property or Common Areas.

Landlord’s Indemnity. Except to the extent caused by the negligence or willful misconduct of Tenant or Tenant’s employees, contractors, invitees, subtenants or assignees, Landlord shall will indemnify, defend defend, protect and hold Tenant harmless from and against all Losses incurred loss, cost, damage or liability caused by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, to the extent attributable to the negligence or willful misconduct of Landlord Landlord, its employees, contractors or its agents which occur on the Property or employeesCommon Areas.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas and with respect to claims for personal injury, the Ancillary BuildingsPremises, to the extent attributable to the gross negligence or willful misconduct of Landlord or its employees, agents or employeescontractors.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas (specifically excluding the Ancillary Buildings, to the extent Premises) unless attributable to the negligence or willful misconduct of Landlord or its agents or employeesany of the Tenant Parties.

Landlord’s Indemnity. Subject to the provisions of Section 12.2, Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, Building (specifically excluding the Premises) to the extent attributable to the gross negligence or willful misconduct of Landlord or its agents agents, employees or employeescontractors.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant (a) arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas and with respect to claims for personal injury, the Ancillary BuildingsPremises, to the extent attributable to the gross negligence or willful misconduct of Landlord or its employees, agents or employeescontractors and (b) from any uncured default by Landlord hereunder.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold Tenant and Tenant’s employees, agents or contractors harmless against and from and against all Losses incurred losses, costs, claims, damages, liabilities or causes of action (including attorneys’ fees) caused by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, to the extent attributable to the Landlord’s gross negligence or willful misconduct of Landlord or its agents or employeesmisconduct.

Landlord’s Indemnity. Landlord shall indemnify, defend and hold harmless Tenant harmless from and against all Losses incurred by Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of Common Areas (specifically excluding the Ancillary Buildings, Premises) to the extent attributable to the negligence or willful misconduct of Landlord or its agents employees or employeesagents.

Landlord’s Indemnity. Landlord shall indemnify, defend hereby agrees to indemnify Tenant and hold Tenant harmless from and against all Losses any cost, damage, liability or expense incurred by Tenant arising Tenant, except for consequential damages, which results from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary Buildings, to the extent attributable to the negligence or willful misconduct or gross negligence of Landlord or its agents or employeesagents.

Landlord’s Indemnity. Landlord shall indemnify, defend and -------------------- hold harmless Tenant harmless from and against all Losses incurred by claims against Tenant arising from any accident, injury or damage whatsoever caused to any person or the property of any person (other than Tenant) in or about Premises or the common or public areas of the Ancillary BuildingsBuilding (specifically excluding the Premises), except to the extent attributable to caused by the act, omission or negligence or willful misconduct of Landlord Tenant or its agents contractors, licensees, agents, servants, employees, invitees or employeesvisitors.

Landlord’s Indemnity. Landlord shall defend, indemnify, defend hold and hold save Tenant harmless from and against any and all Losses incurred by Tenant arising from any accidentloss, injury costs, liability or damage whatsoever caused to any person (including reasonable attorneys' fees or the property of any person (other than Tenantcourt costs) in or about Premises or connection with the common or public areas of the Ancillary BuildingsPremises, to the extent attributable to arising out of the negligence or willful misconduct or negligence of Landlord Landlord, or its agents or Landlord's officers, agents, employees, contractors and/or invitees.
