Common use of Landlord’s Indemnity Clause in Contracts

Landlord’s Indemnity. Landlord shall indemnify, defend upon demand with counsel reasonably acceptable to Tenant, and hold Tenant harmless from and against, any liabilities, losses, claims, damages, interest, penalties, fines, attorneys’ fees, experts’ fees, court costs, remediation costs, and other expenses which result from any the use, storage, handling, treatment, transportation, release or disposal of Hazardous Materials in, on or about the Premises by Landlord Responsible Parties, as well as any violation of the Environmental Laws by Landlord Responsible Parties.

Landlord shall indemnify, defend upon demand with counsel reasonably acceptable be liable to Tenant, Tenant for and indemnify and hold Tenant harmless from against all damages (including investigation and againstremedial costs), liabilities and claims arising out of Landlord's and Landlord's agents' activities associated with Hazardous Materials, and arising out of any liabilitiesHazardous Materials existing on or under the Building as of the Commencement Date, lossesincluding all costs and expenses incurred by Tenant in remediating, cleaning up, investigating or responding to any governmental or third party claims, damagesdemands, interest, penalties, fines, attorneys’ fees, experts’ fees, court costs, remediation costs, and other expenses which result from any the use, storage, handling, treatment, transportation, release orders or disposal of Hazardous Materials in, on or about the Premises by Landlord Responsible Parties, as well as any violation of the Environmental Laws by Landlord Responsible Partiesenforcement actions.

Except as otherwise provided in Section 13.2, and subject to the provisions of Section 13.2, Landlord shall indemnify, defend upon demand with counsel reasonably acceptable to Tenant, and hold Tenant and any Tenant Party harmless from and againstagainst any and all Losses imposed upon, any liabilitiesincurred by or asserted against Tenant and arising directly as a result of or directly in connection with Landlord=s negligence or willful misconduct or the negligence or willful misconduct of Landlord=s agents, lossesservants, claims, damages, interest, penalties, fines, attorneys’ fees, experts’ fees, court costs, remediation costs, and other expenses which result from any the use, storage, handling, treatment, transportation, release contractors or disposal of Hazardous Materials in, on or about the Premises by Landlord Responsible Parties, as well as any violation of the Environmental Laws by Landlord Responsible Partiesemployees.

Landlord’s Indemnity. Subject to the provisions of Section 11.2(b), Landlord shall indemnify, defend upon demand with counsel reasonably acceptable to Tenant, and hold harmless Tenant harmless and each of the Tenant Parties from and against, against all Losses incurred by Xxxxxx and any liabilities, losses, claims, damages, interest, penalties, fines, attorneys’ fees, experts’ fees, court costs, remediation costs, and other expenses which result Tenant Party arising from any the useaccident, storage, handling, treatment, transportation, release injury or disposal death to any person or damage to any property of Hazardous Materials in, on any person in or about the Project (but specifically excluding the Premises by and any other tenanted space) to the extent attributable to the negligence or willful misconduct of Landlord Responsible Parties, as well as any violation of the Environmental Laws by or Landlord Responsible Parties.
