Common use of Landlord’s Retention of Contractor Clause in Contracts

Landlord’s Retention of Contractor. Landlord shall independently retain Contractor, on behalf of Tenant, to construct the Improvements in accordance with the Approved Working Drawings and the Cost Proposal and Landlord shall supervise the construction by Contractor, and Tenant shall pay a construction supervision and management fee (the “Landlord Supervision Fee”) to Landlord equal to Landlord’s actual cost, in an amount not to exceed $40,000, payable out of the Improvement Allowance.

Landlord shall independently retain Contractor, on behalf of Tenant, to construct the Tenant Improvements in accordance with the Approved Working Drawings and the Cost Proposal and Landlord shall supervise the construction by Contractor, and Tenant shall pay a construction supervision and management fee (the “Landlord Supervision Fee”) to Landlord equal to Landlord’s actual cost, in an amount not equal to exceed $40,000the product of (i) three percent (3%), payable out and (ii) an amount equal to all costs incurred in connection with the design and construction of the Improvement AllowanceTenant Improvements.

Landlord shall independently retain Contractor, on behalf of Tenant, to construct the Improvements in accordance with the Approved Working Drawings and the Cost Proposal and Landlord shall supervise coordinate the construction by Contractor, and Tenant shall pay a construction supervision and management coordination fee (the “Landlord Supervision Coordination Fee”) to Landlord equal to Landlord’s actual cost, in an amount not equal to exceed $40,000, payable out the product of (i) two percent (2%) and (ii) an amount equal to the Improvement Allowance.

Landlord shall receive no profit, and Tenant shall pay a construction overhead, general conditions or supervisory fee in connection with Landlord's supervision and management fee (the “Landlord Supervision Fee”) to Landlord equal to Landlord’s actual cost, in an amount not to exceed $40,000, payable out of the Improvement AllowanceContractor.

Landlord's contract with the Contractor shall include a ten percent (10%) final retention.
