Common use of Landlord’s Transfer Clause in Contracts

Landlord’s Transfer. Landlord may sell, assign or otherwise transfer the Premises without the consent of Tenant. If Landlord should sell or transfer Landlord's interest in the Premises, then effective with the date of the sale or transfer, Landlord shall be released and discharged from any and all further obligations and responsibilities under this Lease (except those already accrued) upon written assumption by the buyer or transferee of Landlord's liabilities under this Lease.

If Landlord should sell or transfer Landlord's ’s interest in the Premises, other than a transfer for security purposes only, then effective with the date of the sale or transfer, Landlord shall be automatically released and discharged from any and all further obligations and responsibilities under this Lease (except those already accrued) upon written assumption by the buyer or transferee of Landlord's liabilities under this Lease).
