Late Notice – Prejudice Required. If the Insureds fail to provide timely notice to the Insurer as specified above, the Insurer shall not be entitled to deny coverage based solely upon late notice unless the Insurer can demonstrate its interests were materially prejudiced by reason of such late notice.
