Latest Closing Date. If the Closing Date in respect of the due and complete exercise of the Option by the Purchaser has not occurred within 120 calendar days from the Effective Date then this Agreement will be terminated and unenforceable unless the Parties hereto agree in writing to grant an extension of such Closing Date.
