Common use of Law Governing and Venue Clause in Contracts

Law Governing and Venue. This Warrant shall be construed and enforced in accordance with, and governed by, the laws of the State of California, without giving effect to the principles of conflicts of law. The Company and Holder agree that the sole jurisdiction and venue for any litigation arising out of this Warrant involving the Company or Holder shall be in the appropriate federal or state court located in Los Angeles County, California.
