Lawful compliance. The relevant Seller will at all times ensure that all necessary action is taken and all necessary conditions are fulfilled (including, without limitation, the obtaining of all necessary consents) so that it may lawfully comply with its obligations under all the Transaction Documents to which it is a party, provided that where a matter is not within its control the relevant Seller will be obliged only to make all reasonable endeavours in connection with the foregoing.
