LBB’s Financial Condition Sample Clauses

LBB’s Financial Condition. LBB is not insolvent as of the date of this Agreement and shall not be rendered insolvent by the consummation of the transactions contemplated by this Agreement. For the purposes of this Agreement, “insolvent” shall mean that the value of LBB’s liabilities exceeds the value of LBB’s assets or that LBB is generally unable to pay its debts as and when due.
