Lead Compound Milestone Payments. The parties acknowledge that -------------------------------- Pharmacopeia has identified potential Lead Compound(s) prior to the Execution Date. On or prior to the Execution Date, Pharmacopeia shall provide to BMS the chemical structure(s) of such potential Lead Compound(s). As soon as practicable thereafter, Pharmacopeia shall provide sufficient samples of such potential Lead Compound(s) to BMS to permit BMS to verify whether such potential Lead Compound(s) satisfy the requisite criteria. BMS shall make its determination within ninety (90) days after BMS receives such samples from Pharmacopeia. If BMS reasonably determines that any such potential Lead Compound(s) satisfy such requisite criteria, then BMS shall pay [***] to Pharmacopeia within ten (10) days after such determination.
