Common use of Lease Sales Clause in Contracts

Lease Sales. (a) Except as provided in this Section 5.4, in Section 6.2(c) and elsewhere herein, the General Partner may sell, farm-out, abandon or otherwise dispose of any Partnership Lease, on such terms as the General Partner deems reasonable and in the best interests of the Partnership. (b) Except as expressly permitted and recognized in Sections 5.3 and 10.3, neither the General Partner or any of its Affiliates nor any of their employees shall acquire, directly or indirectly, any Lease (or any interest therein) from the Partnership unless the Limited Partner has previously approved in writing such acquisition.
