Common use of Leases and Liens Clause in Contracts

Leases and Liens. None of the properties or assets reflected in the consolidated balance sheet of the Company and its Subsidiaries as of May 31, 2005 referred to in Section 2.1, or acquired by the Company or its Subsidiaries after said date, is held by the Company or its Subsidiaries subject to any Lien which would not be permitted by Section 7.4(a) or which is not disclosed in Exhibit “C” hereto. The Company and its Subsidiaries enjoy peaceful and undisturbed possession under all of the leases under which they are operating as Lessee, and all such leases are valid, including, without limitation, in each instance, good title being vested in the lessor thereunder, and subsisting and in full force and effect.

The Company and its Subsidiaries enjoy peaceful and undisturbed possession under all of the leases under which they are operating as Lesseelessees, and all such leases are valid, including, without limitation, in each instance, to the best knowledge of the Company after due inquiry based upon the Company's reasonable reliance on the representations of such lessors, good title being vested in the lessor thereunder, and subsisting and in full force and effect.

The Company and its Subsidiaries enjoy peaceful and undisturbed possession under all of the leases under which they are operating as Lesseelessees, and all such leases are valid, including, without limitation, in each instance, good title being vested vested, to the best knowledge of the Company, in the lessor thereunder, and subsisting and in full force and effect.
