Common use of Legal Action Clause in Contracts

Legal Action. There shall not have been instituted or threatened any legal proceeding relating to, or seeking to prohibit or otherwise challenge the consummation of, the transactions contemplated by this Agreement, or to obtain substantial damages with respect thereto.

There shall not have been instituted be any threatened or threatened pending action, proceeding or other application before any legal proceeding relating to, court or Governmental Entity brought by any Governmental Entity (i) challenging or seeking to restrain or prohibit or otherwise challenge the consummation of, of the Merger or the other transactions contemplated by this Agreement, or (ii) seeking to obtain substantial any material damages with respect theretofrom Parent, Merger Sub or the Company as a result of the Merger or such other transactions.

There shall will not have been instituted be overtly threatened or threatened pending any legal action, proceeding relating to, or other application before any court or Governmental Entity brought by any Person or Governmental Entity challenging or seeking to restrain or prohibit or otherwise challenge the consummation of, of the transactions contemplated by this Agreement, or seeking to obtain substantial any material damages with respect theretofrom Bridgeline or Seller as a result of such transactions.

Legal Action. There shall not have been instituted be pending or threatened in writing any legal proceeding relating to------------- action, proceeding, or other application before any court or Governmental Entity challenging or seeking to restrain or prohibit or otherwise challenge the consummation of, of the transactions contemplated by this Agreement, or seeking to obtain substantial damages with respect theretoany material damages.
