Legal and Insurance Requirements. (a) The Mortgagor represents and warrants that (i) as of the date hereof, the Property and the use and operation thereof comply in all material respects with all Legal Requirements and Insurance Requirements; (ii) there is no material default under any Legal Requirement or Insurance Requirement; and (iii) the execution, delivery and performance of this Mortgage will not contravene in any material respect any provision of or constitute a material default under any Legal Requirement or Insurance Requirement. (b) The Mortgagor shall (i) subject to Section 2.06, duly and punctually comply in all material respects with all Legal Requirements and Insurance Requirements; (ii) procure, maintain and, subject to Section 2.06, duly and punctually comply in all material respects with all Permits required for any construction, reconstruction, repair, alteration, addition, improvement, maintenance, management, use and operation of the Property as then conducted; (iii) promptly notify the Mortgagee of the receipt by the Mortgagor of any notice of default regarding any Legal Requirement or Insurance Requirement or any possible or actual termination of any Permit or Insurance Policy and furnish to the Mortgagee a copy of such notice of default or termination, except with respect to any default or termination which would not have a material adverse effect on the use or operation of the Property as then conducted; (iv) promptly after obtaining knowledge thereof notify the Mortgagee of any condition which, with or without the giving of notice or the passage of time or both, would constitute a default regarding any Legal Requirement or Insurance Requirement or result in a termination of any Permit or Insurance Policy, except with respect to any default or termination which would not have a material adverse effect on the use or operation of the Property as then conducted, and the action being taken to remedy such condition; (v) upon request, promptly furnish to the Mortgagee a copy of any Permit obtained by the Mortgagor with respect to the Property after the date hereof; and (vi) upon request, promptly deliver to the Mortgagee (A) a certificate of the Mortgagor evidencing that the Mortgagor has complied with the provisions of this Section, and (B) such other information and documents with respect to the matters referred to in this Section as the Mortgagee shall reasonably request.

Legal and Insurance Requirements. (a) The Mortgagor represents Section 6.1 Subject to the terms of this Article 6, Tenant, at its sole cost and warrants that expense, shall comply with all Requirements applicable to the Premises including, without limitation, (i) as Requirements that are applicable to the performance of the date hereofAlterations by Tenant (or any other Permitted Occupant), the Property and the use and operation thereof comply in all material respects with all Legal Requirements and Insurance Requirements; (ii) there is no material default under any Legal Requirement Requirements that become applicable by reason of Alterations having been performed by Tenant (or Insurance Requirement; another Permitted Occupant), and (iii) Requirements that are applicable by reason of the execution, delivery and performance specific nature or type of this Mortgage will business operated by Tenant (or another Permitted Occupant) in the Premises. Tenant shall not contravene in any material respect any provision of or constitute a material default be under any Legal obligation to make any Alteration to the structure of the Building or to the Building Systems in either case to comply with any Requirement unless (a) such Alteration is required by reason of Alterations having been performed by Tenant (or another Permitted Occupant) in a Tenant Area, or (b) such Alteration is required by reason of the specific nature of the use of such Tenant Area by Tenant (or another Permitted Occupant) (as opposed to the use of such Tenant Area for mere general office purposes). Tenant shall not do or permit to be done any act or thing upon the Premises which is not permitted by this Lease or will invalidate or be in conflict with an industry-standard "all-risk" insurance policy (which does not prohibit the use of the Premises for ordinary office purposes); and shall not do anything, or permit anything to be done, in or upon the Premises, or bring or keep anything therein, except as now or hereafter permitted by the New Xxxx Xxxx Xxxx Xxxxxxxxxx, Xxx Xxxx Xxard of Fire Underwriters, the Insurance RequirementServices Office or other authority having jurisdiction. Nothing contained in this Section 6.1 limits Landlord's obligation to perform the Work in compliance with applicable Requirements in accordance with Article 22 hereof.
Section 6.2 Landlord shall comply with all Requirements applicable to the Building which affect Tenant's use and occupancy of the Tenant Areas as contemplated hereby other than such Requirements with respect to which Tenant is required to comply, subject, however, to Landlord's right to contest the applicability or legality thereof pursuant to Section 6.3(A) hereof.
(bA) The Mortgagor shall Subject to the terms of this Section 6.3(A), Landlord may contest, by appropriate proceedings prosecuted diligently and in good faith, the legality or applicability of, and not comply with, any Requirement with which Landlord is required to comply under Section 6.2 hereof, provided that and for so long as Landlord's aforesaid contest and Landlord's aforesaid failure to comply with any such Requirement (i) does not subject Tenant (or any Tenant Indemnitees) to Section 2.06imprisonment or to prosecution for a crime, duly and punctually comply in all material respects with all Legal Requirements and Insurance Requirements; (ii) procure, maintain and, does not subject to Section 2.06, duly and punctually comply condemnation or other similar taking in all material respects with all Permits required for any construction, reconstruction, repair, alteration, addition, improvement, maintenance, management, use and operation lieu thereof the portions of the Property as then conducted; Building to which Tenant has access hereunder, and (iii) promptly notify does not subject to suspension or cancellation the Mortgagee certificate of occupancy for the portions of the receipt Building to which Tenant has access hereunder.
