Common use of Legal and Other Compliance Clause in Contracts

Legal and Other Compliance. Seller is in compliance with all material applicable laws (including rules, regulations, codes, plans, injunctions, judgments, orders, decrees, rulings, and charges thereunder) of foreign, federal, state, local, and foreign governments (and all agencies thereof) applicable to its business, and no action, suit, proceeding, hearing, investigation, charge, complaint, claim, demand, or notice has been filed or commenced against it alleging any failure so to comply.

Legal and Other Compliance. To the Best Knowledge of Seller, Seller is in full compliance with all material applicable laws (including rules, regulations, codes, plans, injunctions, judgments, orders, decrees, rulings, and charges thereunder) of foreign, federal, state, local, and foreign governments (and all agencies thereof) applicable to its business), and no action, suit, proceeding, hearing, investigation, charge, complaint, claim, demand, or notice has been filed or commenced against it alleging any failure so to complythe violation of which would have a Material Adverse Effect on Seller.

Seller is in compliance in all material -------------------------- respects with all material applicable laws (including rules, regulations, codes, plans, injunctions, judgments, orders, decrees, rulings, and charges thereunder) of foreign, federal, state, local, local and foreign governments (and all agencies thereof) applicable to its business, the Transferred Assets and no action, suit, proceeding, hearing, investigation, charge, complaint, claim, demand, or notice has been filed or commenced against it alleging any failure so to comply.

Legal and Other Compliance. The Seller is in compliance with all material -------------------------- applicable laws (including rules, regulations, codes, plans, injunctions, judgments, orders, decrees, rulings, rulings and charges thereunder) of foreign, federal, state, local, local and foreign governments (and all agencies thereof) applicable to its business, where any failure of compliance would materially and adversely affect any of the Acquired Assets or the Assumed Liabilities and no action, suit, proceeding, hearing, investigation, charge, complaint, claim, demand, demand or notice has been filed or commenced against it the Seller alleging any failure so to comply.
