Legal and Other Expenses. In the event that Executive's employment terminates at or after a Change in Control and a claim for payment or benefits under this Agreement (or the other agreements and plans referred to herein) is disputed thereafter, the Company shall pay all reasonable attorney, accountant and other professional fees and reasonable expenses incurred by Executive in pursuing such claim, provided that material portions of Executive's claim are not found to be frivolous or asserted in bad faith.
