Legal and Other Fees and Expenses. In the event that a claim for payment or benefits under this Agreement is disputed, the Company shall pay all reasonable attorney, accountant and other professional fees and reasonable expenses incurred by Executive in pursuing such claim, unless the claim by Executive is found to be frivolous by any court or arbitrator.
Legal and Other Fees and Expenses. Unless otherwise specifically provided herein, the parties will pay their respective legal, accounting and other professional fees and expenses incurred by each of them in connection with the negotiation and settlement of this Agreement, the completion of the Transaction and other matters pertaining hereto.

Any reasonable costs or expenses of Executive arising out of a dispute or litigation regarding the interpretation or application of Section 7 hereof shall be the responsibility of Executive; provided, however that Company shall reimburse Executive any amounts paid by Executive in connection with such dispute or litigation if the Company is not the prevailing party of such dispute or litigation. The provisions of this subsection shall survive the expiration or termination of the Agreement and Executive’s employment hereunder.

In the event that a claim for payment or benefits under this Agreement is disputed and Executive is successful with regard to a material portion of his claim, the Company shall pay all reasonable attorney, accountant and other professional fees and reasonable expenses incurred by Executive in pursuing such claim. The Company shall reimburse the Executive for all reasonable attorney fees incurred by him in connection with entering into this Agreement, up to an aggregate amount of $15,000.

In the event that a claim for payment or benefits under this Agreement is disputed, the non-prevailing party shall pay all reasonable attorney, accountant and other professional fees and reasonable expenses incurred by the prevailing party associated with such claim.

In the event that a claim for payment or benefits under this Restated Employment Agreement is disputed, the Company shall pay all reasonable attorney, accountant and other professional fees and reasonable expenses incurred by Executive in pursuing such claim, provided Executive is successful with regard to a material portion of his claim.

The Issuer will pay or reimburse the Subscriber for all out of pocket expenses and reasonable, pre-approved legal fees incurred by or on behalf of the Subscriber in connection with due diligence enquiries respecting the Issuer, its assets and with the negotiation, preparation, execution or maintenance of the Debenture Documents.

Any reasonable costs or expenses arising out of the interpretation or application of this Agreement or any term or condition of this Agreement, other than with respect to Section 2 hereof shall be the responsibility of the Company; provided, however that Consultant shall repay any amounts paid or advanced to Consultant in connection with a dispute or any litigation if Consultant is not the prevailing party with respect to at least one material claim or issue in such dispute or litigation. Any reasonable costs or expenses of Consultant arising out of a dispute or litigation regarding the interpretation of application of Section 2 hereof shall be the responsibility of Consultant; provided, however that Company shall reimburse Consultant any amounts paid by Consultant in connection with such dispute or litigation if the Company is not the prevailing party of such dispute or litigation. The provisions of this subsection shall survive the expiration or termination of the Agreement and Consultant’s engagement hereunder.
