Legal Details, etc. All documents executed or submitted pursuant hereto shall be reasonably satisfactory in form and substance to the Lender and its counsel. The Lender and its counsel shall be satisfied as of the Closing Date with the terms and conditions of each agreement entered into in connection herewith and with all legal, tax and accounting matters relating to this Agreement and the other Loan Documents, including, without limitation, any such matters pertaining to the Lender’s unconditional release from all guaranties or surety or indemnification arrangements with respect to the Borrower’s Indebtedness or Indebtedness of the Borrower’s customers (or the Borrower’s reimbursement of the Lender with respect to any liabilities that the Lender may become subject to under such guaranties or surety or indemnification arrangements). In addition, the corporate, capital and legal structure of the Borrower and its Subsidiaries, and all organizational documents of the Borrower and its Subsidiaries, shall be satisfactory to the Lender. The Lender and its counsel shall have received all information and such counterpart originals or such certified or other copies or such materials, as the Lender or its counsel may reasonably request.
