Legal Existence; Good Standing. Borrower shall maintain its existence in its jurisdiction of organization and maintain its qualification in any jurisdiction in which failure to be so qualified would have a Material Adverse Effect. The Guarantor shall maintain its existence and remain in good standing in its jurisdiction of incorporation and in any jurisdiction in which failure to be so qualified would have a Material Adverse Effect.
