Common use of Legal Matters Satisfactory to Counsel Clause in Contracts

Legal Matters Satisfactory to Counsel. All corporate and partnership proceedings and other legal matters incident to the authorization, form and validity of this Agreement, the Notes, the Indenture, the form of the Registration Statement, each Prospectus and all other legal matters relating to this Agreement and the transactions contemplated hereby shall be satisfactory in all respects to counsel for the Agent, and Sun and the Company shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.

Legal Matters Satisfactory to Counsel. All corporate and partnership proceedings and other legal matters incident to the authorization, form and validity of this Agreement, the Notes, the Indenture, the form of the Registration Statement, each the Prospectus (other than financial statements and other financial data) and all other legal matters relating to this Agreement and the transactions contemplated hereby shall be satisfactory in all respects to counsel for the AgentAgents, and Sun and the Company Xxxxxxx Kodak shall have furnished to such counsel all documents and information that they may reasonably request to enable them to pass upon such matters.
