Common use of Legal Matters Clause in Contracts

Legal Matters. All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of UAG or Sub under the provisions of this Agreement, and all other actions and proceedings required to be taken by or on behalf of UAG or Sub in furtherance of the transactions contemplated hereby, shall be reasonably satisfactory in form and substance to counsel for the Stockholder.

Legal Matters. All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of UAG or Sub the Stockholder and the Company under the provisions of this Agreement, and all other actions and proceedings required to be taken by or on behalf of UAG or Sub the Stockholder and the Company in furtherance of the transactions contemplated hereby, shall be reasonably satisfactory in form and substance to counsel for the StockholderUAG and Sub.

Legal Matters. All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of UAG or Sub the Merger Subs under the provisions of this Agreement, and all other actions and proceedings required to be taken by or on behalf of UAG or Sub the Merger Subs in furtherance of the transactions contemplated hereby, shall be reasonably satisfactory in form and substance to counsel for the StockholderShareholders.

Legal Matters. All certificates, instruments, opinions and other documents required to be executed or delivered by or on behalf of UAG or Sub the Merger Subs under the provisions of this 49 Agreement, and all other actions and proceedings required to be taken by or on behalf of UAG or Sub the Merger Subs in furtherance of the transactions contemplated hereby, shall be reasonably satisfactory in form and substance to counsel for the StockholderStockholders.
