Common use of Legal Opinion Clause in Contracts

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an a favorable written opinion or opinions of counsel for the Credit Parties, dated the Amendment Effective Date and (addressed to the Administrative Agent and the Lenders which shall be and dated the Effective Date) of ▇▇▇▇▇ Day in form and substance reasonably satisfactory to the Administrative Agent. The Borrower hereby requests such counsel to deliver such opinions.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Parties, dated as of the First Additional Loan Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an a favorable written opinion or opinions of counsel for the Credit Parties, dated the Amendment Effective Date and (addressed to the Administrative Agent Credit Parties and dated the Lenders which shall be Closing Date) from counsel to the Borrowers, in form form, scope and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or customary written opinions of counsel for the Credit Parties, dated the Amendment Effective Date and (addressed to the Administrative Agent and the Lenders which shall be Lenders, dated the Effective Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent) of counsel to the Borrower.

Legal Opinion. The Administrative Agent shall have received an a favorable opinion or opinions of ▇▇▇▇▇▇▇▇ & ▇▇▇▇▇ LLP, counsel for to the Credit Loan Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be New Revolving Credit Lender, in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an a legal opinion or opinions of counsel for the Credit Parties, dated the Amendment Effective Closing Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative Agent, covering such matters relating to the Borrower and this Agreement as the Administrative Agent shall reasonably request.

Legal Opinion. The Administrative Agent shall have received an opinion (which shall cover, among other things, absence of violation of law or opinions of counsel for regulation or conflicts with existing Material Contracts (including the Credit PartiesSenior Subordinated Indenture) and enforceability), dated satisfactory to the Amendment Effective Date and Administrative Agent, addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory Lenders, from legal counsel to the Administrative AgentLoan Parties.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Partiesopinion, dated as of the Amendment Effective Date and addressed date hereof, of in-house counsel to the Administrative Agent and the Lenders which shall be Borrower, in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received (i) an opinion or opinions of counsel for the Credit PartiesParties and (ii) an opinion of U.K. counsel with respect to the U.K. Borrowers, in each case dated the Amendment Effective Date and Date, addressed to the Administrative Agent and the Lenders which shall be and in form and substance reasonably satisfactory acceptable to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions dated as of counsel for the Credit Parties, dated the Amendment Effective Date and a favorable written opinion of ▇▇▇▇▇▇▇▇ & ▇▇▇▇▇ LLP, as counsel to the Loan Parties addressed to the Administrative Agent and the Lenders which shall be and in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of legal counsel for the Credit Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders Lenders, which opinions shall be in form and substance reasonably satisfactory acceptable to the Administrative Agent.

The Administrative Agent shall have received (i) an opinion or opinions of counsel for the Credit PartiesParties and (ii) an opinion of U.K. counsel with respect to the U.K. Borrower and the U.K. Guarantors, in each case dated the Amendment Effective Date and Date, addressed to the Administrative Agent and the Lenders which shall be and in form and substance reasonably satisfactory acceptable to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or customary written opinions of counsel for the Credit Parties, dated the Amendment Effective Date and (addressed to the Administrative Agent and the Lenders which shall be Lenders, dated as of the date hereof and otherwise in form and substance reasonably satisfactory to the Administrative Agent) of counsel to the Borrower.

Legal Opinion. The Administrative Agent shall have received an opinion or customary written opinions of counsel for the Credit Parties, dated the Amendment Effective Date and (addressed to the Administrative Agent and the Lenders which shall be Lenders, dated the Effective Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent) of counsel in each jurisdiction where the Borrower or Guarantor is organized.

Legal Opinion. The Administrative Agent shall have received an a written opinion or opinions of counsel for (addressed to the Credit Parties, Agents and the Incremental Revolving Lenders and dated the Amendment Effective Date) of applicable counsel for each Borrower covering such matters relating to such Borrower and the Loan Documents as of the Amendment Effective Date as are customary for financings of this type and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to extent requested by the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or customary opinions of counsel for to the Credit Parties, dated the Amendment Effective Date and Closing Date, addressed to the Administrative Agent and the Lenders which shall be with respect to the Credit Parties, in form and substance consistent with those opinions that were delivered on the Closing Date or otherwise reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Partiesa legal opinion, dated the First Amendment Effective Date and Date, addressed to the Administrative Agent and Agent, from special counsel to the Lenders which shall be Principal Companies, in form and substance reasonably satisfactory to the Administrative AgentAgent and its special counsel.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit PartiesCompany, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative AgentAgent and its counsel.

The Administrative Agent shall have received an a favorable opinion or opinions of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇ LLP, counsel for the Credit PartiesBorrower, dated the First Amendment Effective Date and addressed to the Administrative Agent and the Lenders Lender which shall be in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received an a legal opinion or opinions with respect to the Borrower (addressed to each of the Secured Parties and DBRS) from Dechert LLP, counsel for to the Credit PartiesBorrower, dated the Amendment Effective Date and addressed to date hereof, covering such matters as the Administrative Agent and the Lenders which its counsel shall be in form and substance reasonably satisfactory to the Administrative Agentrequest.

Legal Opinion. The Administrative Agent shall have received (i) an opinion or opinions of counsel for the Credit Partiesaddressed to it, dated the Amendment Effective Date and addressed Closing Date, of counsel to Borrower as to such matters as may be requested by the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to (ii) such opinions of local counsel as the Administrative AgentAgent shall request.

Legal Opinion. The Administrative Agent shall have received an opinion or legal opinions of from counsel for to the Credit Parties, dated the Amendment Effective Date Parties in form and addressed substance satisfactory to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative Agentits counsel.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit PartiesBorrower, dated as of the Second Amendment Effective Date and addressed to the Administrative Agent and the Lenders Lenders, which shall be in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion opinion, or opinions of counsel for the Credit Partiesopinions, dated the Amendment Effective Date in form and addressed substance satisfactory to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory Canadian Agent, addressed to the Administrative AgentAgents on behalf of the Lenders and dated as of the date hereof, from U.S. and Canadian legal counsel to the Credit Parties which covers, among other matters, valid corporate existence and authority, legality, validity and binding effect of this Amendment and the Credit Agreement, as amended by this Amendment.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders (which shall be in form and substance reasonably satisfactory include, without limitation, opinions with respect to the Administrative Agentvalid existence of each Credit Party and opinions as to the non-contravention of the Credit Parties’ organizational documents and the Subordinated Note Documents and the documents for all other publicly held or privately placed Indebtedness incurred in accordance with Section 6.1(p)).

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Loan Parties, dated as of the Second Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received an opinion or customary written opinions of counsel for the Credit Parties, dated the Amendment Effective Date and (addressed to the Administrative Agent and the Lenders which shall be Lenders, dated the Effective Date and otherwise in form and substance reasonably satisfactory to the Administrative Agent) of counsel in each jurisdiction where a Borrower or Guarantor is organized.

The Administrative Agent shall have received an a favorable written opinion or opinions of counsel for the Credit Parties, dated the Amendment Effective Date and (addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory dated as of the effective date of this Amendment) of ▇▇▇▇▇▇ & ▇▇▇▇▇▇ LLP, counsel for the Credit Parties, and covering such matters relating to the Credit Parties and this Amendment as the Administrative AgentAgent shall reasonably request.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Parties, Parties dated the Amendment Effective Date and Date, addressed to the Administrative Agent and the U.S. Term Loan Lenders which shall be and in form and substance reasonably satisfactory acceptable to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or customary legal opinions of counsel for the Credit PartiesParties (including an opinion of the general counsel of the Borrower) as may be reasonably requested by the Administrative Agent, in each case dated the Second Amendment Effective Date and Date, addressed to the Administrative Agent and the Lenders which shall be (and their permitted assigns) and in form and substance reasonably satisfactory acceptable to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be Lenders, in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent and Lenders shall have received an a written opinion or opinions of counsel for to the Credit Loan Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative Agent, dated as of the Amended Credit Agreement Effective Date.

Legal Opinion. The Administrative Agent shall have received an a written opinion or opinions (addressed to the Agents and the First Amendment Incremental Term Lenders and dated the Effective Date) of counsel for each Borrower covering such matters relating to such Borrower and the Credit Parties, dated Loan Documents as of the Amendment Effective Date as are customary for financings of this type and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to extent requested by the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of from legal counsel for to the Credit PartiesParties (which shall cover, dated the Amendment Effective Date among other things, valid corporate existence, corporate power and authority, absence of violation of law or regulation or conflicts with existing Material Contracts and enforceability) addressed to the Administrative Agent and the Lenders which shall be and in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Parties, dated the Amendment Effective Date and addressed Loan Parties with respect to the Administrative Agent and the Lenders which shall be Loan Documents in form and substance reasonably satisfactory acceptable to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of from ▇▇▇▇▇▇ ▇. ▇▇▇▇▇▇▇▇▇, P.C., general counsel for to the Credit Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be an opinion, in form and substance reasonably satisfactory to the Administrative Agent, addressed to the Administrative Agent and the RL Lender and dated the Second Amendment Effective Date.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be Lenders, in form and substance reasonably satisfactory acceptable to the Administrative AgentAdministrative.

Legal Opinion. The Administrative Agent shall have received an a favorable legal opinion or opinions of the Loan Parties’ counsel for and/or local counsel, as the Credit Partiescase may be, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Domestic Credit Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative AgentAgent and consistent with the language of the opinion delivered on behalf of the Domestic Credit Parties in connection with the closing of the Credit Agreement.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for to the Credit Parties, dated the Amendment Effective Date and Loan Parties addressed to the Administrative Agent and the Lenders which shall be Lenders, in form and substance reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Parties, dated the First Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be Lenders, in form and substance reasonably satisfactory acceptable to the Administrative AgentAgent (which shall include, without limitation, opinions with respect to the valid existence of each Credit Party and opinions as to the non-contravention of the Credit Parties’ organizational documents and the Subordinated Note Documents).

The Administrative Agent shall have received an opinion opinion, or opinions of counsel for the Credit Partiesopinions, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative Agent, addressed to the Agents on behalf of the Lenders and dated as of the date hereof, from U.S. legal counsel to the Credit Parties which covers, among other matters, valid corporate existence and authority, legality, validity and binding effect of this Amendment and the Credit Agreement, as amended by this Amendment, and the absence of any violation of law or regulation or conflict with any existing material contracts.

The Administrative Agent shall have received an opinion or opinions of counsel for to the Credit Parties, dated the Amendment Effective Date and Loan Parties addressed to the Administrative Agent and the Lenders which shall be Lenders, in form and substance reasonably satisfactory to the Administrative Agent.

Legal Opinion. The Administrative Agent shall have received an opinion or opinions of counsel for the Credit Parties, dated the Second Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be Lenders, in form and substance reasonably satisfactory acceptable to the Administrative AgentAgent (which shall include, without limitation, opinions with respect to the valid existence of each Credit Party and opinions as to the non-contravention of the Credit Parties’ organizational documents and the Subordinated Note Documents and the documents for all other publicly held or privately placed Indebtedness incurred in accordance with Section 6.1 (p)).

The Administrative Agent shall have received an received, on behalf of itself and the Lenders, a legal opinion or opinions from counsel, in its capacity as counsel to the Borrower in respect of counsel for the Credit Partiesflag state of each Term Loan Vessel, dated in form and substance reasonably acceptable to the Amendment Effective Date and Administrative Agent addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative AgentLenders.

The Administrative Agent shall have received an received, on behalf of itself, the Collateral Agent, the Issuing Banks and the Lenders, the favorable written opinion or opinions of ▇▇▇▇▇▇ & ▇▇▇▇▇▇ LLP, counsel for the Credit Loan Parties, dated the Amendment Effective Date and addressed to the Administrative Agent and the Lenders which shall be in form and substance reasonably satisfactory to the Administrative Agent, dated the Incremental Amendment Effective Date and addressed to the Administrative Agent, the Collateral Agent, the Issuing Banks and the Lenders.
