The Administrative Agent shall have received an opinion or opinions (includingof New York, if requested by the Administrative AgentCayman Islands, local counsel opinions) of Mauritius and Thailand counsel for the Loan Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders or to the Administrative Agent (for the benefit of all Lenders), each in form and substance reasonably acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions of counsel (including, if requested by the Administrative Agent, local counsel opinions) of counsel for the Loan Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance reasonably acceptable to the Administrative AgentAgent (which shall expressly permit reliance by the successors and permitted assigns of each of the Administrative Agent and the Lenders).

The Administrative Agent shall have received an opinion (or opinions (including, if requested by the Administrative Agent, local counsel opinions) of counsel for the Loan Parties, Parties dated the Closing Date and addressed to the Administrative Agent and the Lenders, Lenders in form and substance acceptable reasonably satisfactory to the Administrative Agent.

The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinions) of counsel for the Loan Parties, dated the Closing Restatement Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinions) of legal counsel for the Loan Credit Parties, dated the Closing Funding Date and addressed to the Administrative Agent and the Lenders, which opinion or opinions shall provide, among other things, that the Borrower, its Subsidiaries and the Acquired Company are in compliance with all corporate instruments and Material Contracts on the Funding Date after giving effect to the Acquisition and shall otherwise be in form and substance acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, including local counsel opinions) of counsel for the Loan Parties, dated the Closing Date and addressed to the Administrative Agent Agent, the Collateral Agent, the L/C Issuers and the Lenders, in each case, in form and substance reasonably acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received (i) an opinion or opinions (includingof Hunton & Xxxxxxxx LLP, if requested by the Administrative Agent, local counsel opinions) of external legal counsel for the Loan PartiesBorrower, dated the Closing Date in form and addressed substance reasonably acceptable to the Administrative Agent and (ii) an opinion of the Lendersgeneral legal counsel of the Borrower, in form and substance reasonably acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinions) of counsel for the Loan Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance reasonably acceptable to the Administrative AgentAgent (and which shall include, for the avoidance of doubt, non-contravention opinions with respect to (x) the Second Lien Notes Documents, (y) the 2.25% Convertible Notes Documents, and (z) the 4.0625% Convertible Notes Documents).

The Administrative Agent shall have received an opinion or opinions (includingincluding local counsel opinions with respect to each Designated Borrower and, if requested by the Administrative Agent, any other local counsel opinions) of counsel for the Loan Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinionsopinions and an inhouse counsel opinion) of counsel for the Loan Parties, dated the Closing Amendment Date and addressed to the Administrative Agent and the Lenders, in form and substance reasonably acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinions) of counsel for the Loan PartiesCredit Parties reasonably acceptable to the Administrative Agent, dated the Closing Date and addressed to the Administrative Agent and the Lenders, Lenders in a form and substance or forms reasonably acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (includingreceived, if requested by in form and substance reasonably satisfactory to the Administrative Agent, local counsel opinions) an opinion of King & Spalding, counsel for the Loan Credit Parties, dated as of the Closing Date date hereof and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions of legal counsel (including, if requested including local counsel to the extent required by the Administrative Agent, local counsel opinions) of counsel for the Loan Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, which opinions shall be in form and substance reasonably acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinions) of counsel for the Loan Credit Parties, dated as of the Closing Third Amendment Effective Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinions) of counsel for the Loan Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative AgentAgent (which shall include, without limitation, opinions with respect to the due organization and valid existence of each Credit Party and opinions as to perfection of the Liens granted to the Administrative Agent pursuant to the Security Documents).

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinions) of legal counsel for the Loan Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, which opinion or opinions shall provide, among other things, that the Borrower and its Subsidiaries are in compliance with all corporate instruments and Material Contracts on the Closing Date and shall otherwise be in form and substance acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinions) of counsel for the Loan Parties, dated the Closing Date and addressed with respect to the Administrative Agent and the LendersCredit Documents, in form and substance reasonably acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent shall have received an opinion or opinions (including, if requested by the Administrative Agent, local counsel opinions) of counsel for the Loan Credit Parties, dated as of the Closing Amendment Effective Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent.

Legal Opinions of Counsel. The Joint Administrative Agent shall have received an opinion or opinions (including, if requested by the Joint Administrative Agent, local counsel opinions) of counsel for the Loan PartiesBorrower, dated the Closing Date and addressed to the Joint Administrative Agent and the Lenders, in form and substance acceptable to the Joint Administrative Agent.

Legal Opinions of Counsel. The Administrative Agent and Lead Arranger shall have received an opinion or opinions (including, if requested by the Administrative Agent, one (1) local counsel opinionsopinion per applicable jurisdiction) of counsel for the Loan Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance reasonably acceptable to the Administrative AgentLead Arranger.
