Common use of Legal Opinions of Counsel Clause in Contracts

Legal Opinions of Counsel. The Administrative Agent shall have received a favorable opinion of Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, counsel for the Loan Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance reasonably acceptable to the Administrative Agent, covering such matters relating to the Loan Documents and the transactions contemplated thereby as the Administrative Agent and the Lenders shall reasonably request.

Legal Opinions of Counsel. The Administrative Agent shall have received a favorable opinion of (i) Skadden, Arps, Slate, Xxxxxxx & Xxxx LLP, LLP (“Skadden”) and (ii) Skadden or local counsel for to the Loan PartiesParties in each jurisdiction in which Eligible Real Property is located for which a Mortgage is executed as of the Closing Date, each dated the Closing Date and addressed to the Administrative Agent and the Lenders, Lenders and in form and substance reasonably acceptable to the Administrative Agent, covering such matters relating to the Loan Documents and the transactions contemplated thereby as the Administrative Agent and the Lenders shall reasonably request.
