Legal Opinions of Counsel. (i) The Administrative Agent shall have received an opinion of legal counsel for the Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent. (ii) The Administrative Agent shall have received an opinion of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed to the Administrative Agent and the Lenders.

(i) The Administrative Agent shall have received an opinion of legal Hunton & Xxxxxxxx, counsel for the Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent. Agent (ii) The Administrative Agent shall have received an including, without limitation, a satisfactory no-conflicts opinion of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed with respect to the Administrative Agent Senior Debt Securities, the Subordinated Debt Securities, the Additional Senior Debt Securities and the Lenderseach Material Contract).

(i) The Administrative Agent shall have received an opinion of legal counsel for the Credit PartiesBorrower and its Subsidiaries (including the Acquired Company and its Subsidiaries), dated the Closing Funding Date and addressed to the Administrative Agent and the Lenders, in form and substance reasonably acceptable to the Administrative Agent.; and (ii) The Administrative Agent shall have received an opinion of Moorx Moore & Xan XxxxxVan Allen, XXLCPLLC, dated the Closing Funding Date and addressed to the xxxresxxx xx xxe Administrative Agent and the Lenders, in form and substance reasonably acceptable to the Administrative Agent.

Xxxxxxx, Vice President and Chief Counsel — Operations for the Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent. (ii) The Administrative Agent shall have received an opinion of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed to the Administrative Agent and the Lenders.

Legal Opinions of Counsel. (i) The Administrative Agent shall have received an opinion of legal Xxxxxx and Xxxxx, LLP, counsel for the Credit PartiesBorrower, dated the Closing Date and addressed to the Administrative Agent and the Lenders, Lenders in a form and substance or forms reasonably acceptable to the Administrative Agent. (ii) The Administrative Agent shall have received an opinion of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed to the Administrative Agent and the Lenders.

Xxxxxxx, assistant general counsel for the Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent. (ii) The Administrative Agent shall have received an opinion of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed to the Administrative Agent and the Lenders.

Legal Opinions of Counsel. (i) The Administrative Agent shall have received (i) an opinion of Xxxxx X. Xxxxxx, Esq., legal counsel for the Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the LendersBorrower, in the form of Exhibit D and substance acceptable to the Administrative Agent. (ii) The Administrative Agent shall have received an enforceability opinion from Xxxxx & Xxx Xxxxx PLLC dated as of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed to the Administrative Agent and the Lenders.

Legal Opinions of Counsel. (i) The Administrative Agent shall have received an opinion or opinions of legal counsel for the Credit Loan Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance reasonably acceptable to the Administrative AgentAgent (and which shall include, for the avoidance of doubt, non-contravention opinions with respect to (x) the Second Lien Notes Documents, (y) the 2.25% Convertible Notes Documents, and (z) the 4.0625% Convertible Notes Documents). (ii) The Administrative Agent shall have received an opinion of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed to the Administrative Agent and the Lenders.

(ii) The Administrative Agent shall have received an opinion of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed to the Administrative Agent and the Lenders.

(i) The Administrative Agent shall have received an opinion opinions of legal counsel (including local counsel and Dutch counsel) for the Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance satisfactory to the Administrative Agent which opinion shall provide, among other things, that the Company and its Subsidiaries are in compliance with all corporate instruments and Material Contracts on the Closing Date after giving effect to initial Extensions of Credit hereunder and shall otherwise be in form and substance reasonably acceptable to the Administrative Agent. (ii) The Administrative Agent shall have received an opinion of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed to the Administrative Agent and the Lenders.

(i) The Administrative Agent shall have received an opinion of legal King & Spalding, counsel for the Credit Parties, dated the Closing Date and addressed to the Administrative Agent and the Lenders, in form and substance acceptable to the Administrative Agent. (ii) The Administrative Agent shall have received an opinion of Moorx & Xan Xxxxx, XXLC, dated the Closing Date and addressed to the Administrative Agent and the Lenders.
