Legal Opinions or Certificates. As part of the evidence to be furnished pursuant to Section 12.01, the Borrower shall furnish to the Trustee an opinion or opinions satisfactory to the Trustee of counsel acceptable to the Trustee or, if the Trustee so requests, a certificate satisfactory to the Trustee of a competent official of the Borrower, showing: (a) that the Trust Fund Credit Agreement has been duly authorized or ratified by, and executed and delivered on behalf of, the Borrower and is legally binding upon the Borrower in accordance with its terms; and (b) such other matters as shall be specified in the Trust Fund Credit Agreement or as shall be reasonably requested by the Trustee in connection therewith.
