Common use of Legal Proceedings-Licensee Clause in Contracts

Legal Proceedings-Licensee. To the best of Licensee's knowledge, there is no action, suit, proceeding, claim, arbitration, or investigation by any Government or any person (i) pending to which the Licensee is a party, (ii) threatened against or relating to the Licensee or any of the Licensee's assets or businesses, (iii) challenging the Licensee's right to execute, deliver, or perform under this License, or (iv) asserting any right against Licensee with respect to the System, and there is no basis for any such action, suit, proceeding claim, arbitration, or investigation.
