To the knowledge of such counsel, (i) there is no pending or threatened action, suit or proceeding by or before any court or governmental agency, authority or body or any arbitrator involving any of the Teekay Entities or its property of a character required to be disclosed in the Registration Statement which is not disclosed in the Disclosure Package and the Final Prospectus as required and (ii) there is no agreement, franchise, contract, indenture, lease or other document or instrument of a character that are required to be described in the Registration Statement or the Final Prospectus by the Act or to be filed by the Act as exhibits to the Registration Statement that are not described or filed as required.
