There are no legal or governmental proceedings pending or, to the knowledge of the PCEC Parties, threatened, against the Partnership or any of its subsidiaries or to which the Partnership, any of its subsidiaries or any of their respective properties or assets, including the Subject Interests (as defined in the Conveyance), are subject, that are required to be described in the Registration Statement, the Pricing Disclosure Package or the Prospectus (or any amendment or supplement thereto) but are not described as required.
