Common use of Legal Right and Authority Clause in Contracts

Legal Right and Authority. Axcelis represents and warrants to the Licensee that it has the legal right and power to enter into this Agreement, and the authority to extend the rights and licenses granted to the Licensee in this Agreement, and to fully perform its obligations hereunder, and that it has not made nor will it make any commitments to others in conflict with or in derogation of such rights or this Agreement. Except as otherwise disclosed, Axcelis fully represents to the other that it is not aware of any legal obstacles which could prevent it from carrying out the provisions of this Agreement.
