Legal Status; Enforceability. BC-URBN is a corporation duly organized, validly existing and in good standing under the laws of British Columbia, Canada. BC-URBN has all requisite power and authority to enter into this Agreement and to perform its obligations under this Agreement. This Agreement constitutes the valid, legal and binding obligations of Licensee enforceable against BC-URBN in accordance with its terms.
