Common use of LEGEND; CALL RIGHTS; WITHHOLDING RIGHTS Clause in Contracts

LEGEND; CALL RIGHTS; WITHHOLDING RIGHTS. (1) The certificates evidencing the Exchangeable Shares shall contain or have affixed thereto a legend in form and on terms approved by the Board of Directors, with respect to the Support Agreement, the provisions of the Plan of Arrangement relating to the Liquidation Call Right, the Redemption Call Right and the Change of Law Call Right, the Voting and Exchange Trust Agreement (including the provisions with respect to the voting rights and automatic exchange thereunder) and the Retraction Call Right.
