LEGEND ON CRISX XX XXXTIFICATES. At Closing, Crisx XX xxxl issue certificates to Crisa and LGA 4 representing all of the membership interests of Crisx XX, xxch of which will bear substantially the following legend: "The membership interests represented by this certificate are subject to and are transferable only in compliance with the Limited Liability Company Agreement of Crisa Industrial, L.L.C. by and among Libbey Inc., a corporation organized under the laws of the State of Delaware, LGA 4 Corp., a corporation organized under the laws of the State of Delaware, Vitro, S.A., a sociedad anonima organized under the laws of the United Mexican States, Crisa Corporation, a corporation organized under the laws of the State of Texas, and Crisa Industrial, L.L.C., a limited liability company organized under the laws of the State of Delaware, as the same may be amended from time to time, dated ________________, 1997. The membership interests represented hereby can be transferred only in accordance with the terms of said Limited Liability Company Agreement. Any purported transfer of title other than in the manner provided in the Limited Liability Company Agreement is void, without force and effect, and will not be recognized by Crisa Industrial, L.L.C."

  • Legend on Certificates The certificates representing the Shares purchased by exercise of the Option shall be subject to such stop transfer orders and other restrictions as the Committee may deem advisable under the Plan or the rules, regulations, and other requirements of the Securities and Exchange Commission, any stock exchange upon which such Shares are listed, and any applicable Federal or state laws, and the Committee may cause a legend or legends to be put on any such certificates to make appropriate reference to such restrictions.

  • Xxxx X Xxxx, Chief Corporate Counsel of the Company, shall have furnished to the Representatives a written opinion or opinions, dated the Time of Delivery for such Designated Securities, in form and substance satisfactory to the Representatives, to the effect that:

  • Securities Laws/Legend on Certificates The issuance and delivery of Shares shall comply with all applicable requirements of law, including (without limitation) the Securities Act of 1933, as amended, the rules and regulations promulgated thereunder, state securities laws and regulations, and the regulations of any stock exchange or other securities market on which the Company’s securities may then be traded. If the Company deems it necessary to ensure that the issuance of securities under the Plan is not required to be registered under any applicable securities laws, the Participant shall deliver to the Company an agreement or certificate containing such representations, warranties and covenants as the Company which satisfies such requirements. The certificates representing the Shares shall be subject to such stop transfer orders and other restrictions as the Committee may deem reasonably advisable, and the Committee may cause a legend or legends to be put on any such certificates to make appropriate reference to such restrictions.

  • Legends, etc Shares issued upon the lapse of any restrictions on the Stock Units shall bear such legends as may be required or provided for under the terms of the Stockholders Agreement.
