Common use of Legend on Restricted Securities Clause in Contracts

Legend on Restricted Securities. During the period beginning on the issue date and ending on the later of (1) one year after the issue date or such shorter period of time as permitted by Rule 144 under the Act or any successor provision thereunder and (2) such later date, if any, as may be required by applicable law, any Restricted Security, including any Security issued in exchange therefor or in lieu thereof, shall be subject to the restrictions on transfer provided in the legends set forth on the face of the form of Security in Section 2.02 (the “Transfer Restriction Legend”); provided, however, that the term “Restricted Security” shall not include any Securities as to which restrictions have been terminated in accordance with Section 3.06. All Restricted Securities shall bear the applicable legends set forth on the face of the form of Security in Section 2.02. Except as provided in Sections 3.06 and 3.10, the Trustee shall not issue any unlegended Security until it has received an Officers’ Certificate from the Company directing it to do so.

Legend on Restricted Securities. During the Durixx xxx period beginning on the issue date April 5, 2002 and ending on the date that is the later of (1a) one year after two years from such date and (b) two years from the issue last date or such shorter period of time as permitted by Rule 144 under on which the Act Company or any successor provision thereunder and (2) Affiliate of the Company was the owner of such later date, if any, as may be required by applicable lawSecurity, any Restricted Security, Security including any Security issued in exchange therefor or in lieu thereof, shall be deemed a "RESTRICTED SECURITY" and shall be subject to the restrictions on transfer provided in the legends set forth on the face of the form of Security in Section 2.02 (the “Transfer Restriction Legend”)2.02; provided, however, that the term “Restricted Security” "RESTRICTED SECURITY" shall not include any Securities as to which restrictions have been terminated in accordance with Section 3.063.05. All Restricted Securities shall bear the applicable legends set forth on the face of the form of Security in Section 2.02. Except as provided in Sections 3.06 Section 3.05 and Section 3.10, the Trustee shall not issue any unlegended Security until it has received an Officers’ Officer's Certificate from the Company directing it to do so.
