Lender Consent to Transactions. Notwithstanding any provision of this Agreement or any of the other Loan Documents, any requirement in this Agreement for TFC or Borrower to obtain the prior consent of Lender to any action or transaction shall not be effective or binding, to the extent the Obligations shall have been indefeasibly repaid in full (other than any indemnification or expense claims which have not been made) and each of the Loan Documents shall have been terminated prior to such action or transaction.
