Common use of Lender Credit Decisions Clause in Contracts

Lender Credit Decisions. Each Lender acknowledges that it has, independently and without reliance upon the Administration Agent and based on such documents and information as it has deemed appropriate, made its own credit analysis and decision to enter into this Agreement. Accordingly, and without limiting the generality of the foregoing, each Lender confirms to the Administration Agent that it has not relied, and will not hereafter rely, on the Administration Agent to check or inquire on its behalf into the adequacy, accuracy or completeness of any documents, including without limitation the Credit Facility Documents, provided by the Borrowers under or in connection with this Agreement (whether or not such documents have been or are hereafter distributed to such Lender by the Administration Agent). Each Lender also acknowledges that it will, independently and without reliance upon the Administration Agent and based on such documents and information as it shall deem appropriate at the time, continue to make its own credit decisions in taking or not taking action under this Agreement. Each Lender acknowledges that a copy of this Agreement, the Security Documents and the other Credit Facility Documents have been made available to it for review and each Lender acknowledges that it is satisfied with the form and substance of this Agreement, the Security Documents and the other Credit Facility Documents.
