Lender Not Fiduciary. The relationship between Borrower and Lender is solely that of debtor and creditor, and Lender has no fiduciary or other special relationship with Borrower, and no term or condition of any of the Loan Documents shall be construed so as to deem the relationship between Borrower and Lender to be other than that of debtor and creditor.

The Lender shall in good faith hold in confidence all information, memoranda, or extracts furnished to the Lender by the Borrower hereunder or in connection with the negotiation hereof; provided that the Lender may disclose such information (i) to its Affiliates, accountants or counsel; (ii) to any regulatory agency having the authority to examine the Lender, as required by any legal or governmental process or otherwise by law, and (iii) to the extent that such information shall be publicly available or shall have been known to the Lender independently of any disclosure by the Borrower hereunder or in connection herewith.

The relationship between each Loan Party and Lender pursuant to the Loan Documents is solely that of debtor and creditor, and Lender has no fiduciary or other special relationship with any Loan Party arising out of the Loan Documents, and no term or condition of any of the Loan Documents shall be construed so as to deem the relationship between any Loan Party and Lender to be other than that of debtor and creditor as a result of the financing arrangements evidenced by the Loan Documents.
