Common use of Lender Register Clause in Contracts

Lender Register. The Borrower hereby designates the Administrative Agent to serve as its agent, solely for purposes of this Section 11.15, to maintain a register (the “Lender Register”) on or in which it will record the names and addresses of the Lenders, and the Commitments from time to time of each of the Lenders, the Loans made to the Borrower by each of the Lenders and each repayment and prepayment in respect of the principal amount of such Loans of each such Lender. Failure to make any such recordation, or (absent manifest error) any error in such recordation, shall not affect the Borrower’s obligations in respect of such Loans. With respect to any Lender, the transfer of the Commitment of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c). The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.15, except to the extent attributable to the gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.

Any provision of Incremental B Term Commitments pursuant to Section 1.14 shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance of the Administrative Agent of a properly executed and delivered Incremental B Term Commitment Agreement. The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.1511.16 (but excluding such losses, except to claims, liabilities or liabilities incurred by reason of the extent attributable to the Administrative Agent’s gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior noticemisconduct).

The Lender Register shall be available for inspection by the Borrower ’s willful misconduct or any Lender at any reasonable time and from time to time upon reasonable prior noticegross negligence.

Failure to make any such recordation, or (absent manifest error) any error in such recordation, recordation shall not affect the Borrower’s 's obligations in respect of such Loans. With respect to any Lender, the transfer of the Commitment Commitments (or the post-Closing Date effectiveness of new Commitments) or Loans of such Lender and the rights to the principal of, and interest on, such Loans or any Loan made pursuant to such Commitment Commitments shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment Commitments and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment Commitments and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c11.04(b). The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.1511.16 (but excluding such losses, except to claims, liabilities or liabilities incurred by reason of the extent attributable to the Administrative Agent's gross negligence or willful misconduct of the Administrative Agent. The registration of assignment or transfer of all or part of any Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c12.4(c). The Each Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.1512.15, except to the extent attributable to the gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower Borrowers or any Lender at any reasonable time and from time to time upon reasonable prior notice.

The Borrower Borrowers hereby designates designate the Administrative Agent Agents to serve as its agenttheir agents, solely for purposes of this Section 11.15section 15.16, to retain a copy of each Assignment and Assumption Agreement delivered to and accepted by it and to maintain a register (the “Lender Register”) on or in which it will record the names and addresses of the Lenders, and the Commitments from time to time of each of such Lenders to the LendersBorrowers, the Loans made to the Borrower Borrowers by each of the such Lenders and each repayment and prepayment in respect of the principal amount of such Loans of each such Lender. Failure to make any such recordation, or (absent manifest error) any error in such recordation, shall not affect the Borrower’s Borrowers’ obligations in respect of such Loans. With respect to any Lender, the transfer of the any Commitment of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent Agents with respect to ownership of such Commitment and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment and Loans shall remain owing to the transferor. Failure to make any such recordation, or (absent manifest error) any error in such recordation, shall not affect the Borrower’s 's obligations in respect of such Loans. With respect to any Lender, the transfer of the Commitment Commitments of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment Commitments shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative applicable Agent with respect to ownership of such Commitment Commitments and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment Commitments and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Revolving Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(csection 13.4(b). The registration of designations to make Competitive Bid Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Designation Agreement pursuant to section 13.4(e). The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.15, except to the extent attributable to the gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.of

With respect to any Lender, the transfer of the Commitment Commitments or Loans of such Lender and the rights to the principal of, and interest on, such Loans or any Loan made pursuant to such Commitment Revolving Commitments shall not be effective until such transfer is on the date set forth in the respective assignment agreement as recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment Revolving Commitments and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment Revolving Commitments and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Revolving Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c11.04(b). The Borrower agrees Borrowers agree, jointly and severally, to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.1511.15 (but excluding such losses, except to claims, liabilities or liabilities incurred by reason of the extent attributable to the Administrative Agent’s gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior noticemisconduct).

Lender Register. The Borrower Company hereby designates the Administrative Agent to serve as its agent, solely for purposes of this Section 11.15section 13.17, to maintain a register (the “Lender Register”"LENDER REGISTER") on or in which it will record the names and addresses of the Lenders, and the Commitments from time to time of each of the Lenders, the Loans made to the Borrower Borrowers by each of the Lenders and each repayment and prepayment in respect of the principal amount of such Loans of each such Lender. Failure to make any such recordation, or (absent manifest error) any error in such recordation, shall not affect the Borrower’s Company's obligations in respect of such Loans. With respect to any Lender, the transfer of the Commitment of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment and Loans shall remain owing to the transferor. The Borrower Company agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.15, except to the extent attributable to the gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior noticesection 13.

The Borrower agrees Borrowers agree to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.1512.15, except to for losses, claims, damages and liabilities arising from the extent attributable to the Agent's gross negligence or willful misconduct of the Administrative Agentmisconduct. The Lender Register shall be available for inspection by the Borrower Borrowers or any Lender at any reasonable time and from time to time upon reasonable prior notice.

With respect to any Lender, the transfer of any portion of the Commitment Term Loans of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment portion of the Term Loans shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment and Term Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment and Term Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Term Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c). The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.15, except to the extent attributable to the gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice11.

The registration of assignment or transfer of all or part of any Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c12.04(b). The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.1512.16 (but excluding such losses, except to claims, liabilities or liabilities incurred by reason of the extent attributable to the Administrative Agent's gross negligence or willful misconduct (as determined by a court of the Administrative Agentcompetent jurisdiction in a final and non-appealable decision)). The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time time, and from time to time time, upon reasonable prior notice.

The Borrower Borrowers hereby designates designate the Administrative Agent to serve as its their agent, solely for purposes of this Section 11.15section 12.16, to retain a copy of each Assignment Agreement delivered to and accepted by it and to maintain a register (the “Lender Register”"LENDER REGISTER") on or in which it will record the names and addresses of the Lenders, and the Commitments from time to time of each of such Lenders to the LendersBorrowers, the Loans made to the Borrower Borrowers by each of the such Lenders and each repayment and prepayment in respect of the principal amount of such Loans of each such Lender. Failure to make any such recordation, or (absent manifest error) any error in such recordation, shall not affect the Borrower’s Borrowers' obligations in respect of such Loans. With respect to any Lender, the transfer of the any Commitment of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment and Loans shall remain owing to the transferor. Failure to make any such recordation, or (absent manifest error) any error in such recordation, shall not affect the Borrower’s Borrowers' obligations in respect of such Loans. With respect to any Lender, the transfer of the Commitment Commitments of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment Commitments shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment Commitments and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment Commitments and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c12.04(b). The Borrower agrees Borrowers jointly and severally agree to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.15, except to the extent attributable to the gross negligence or willful misconduct of 12.16 other than those resulting from the Administrative Agent. The Lender Register shall be available for inspection by the Borrower 's willful misconduct or any Lender at any reasonable time and from time to time upon reasonable prior noticegross negligence.

Lender Register. The Borrower hereby designates the Administrative Agent Payments Administrator to serve as its agent, solely for purposes of this Section 11.1511.16, to maintain a register (the “"Lender Register”") on or in which it will record the names and addresses of the Lenders, and the Commitments from time to time of each of the Lenders, the 52 Loans made to the Borrower by each of the Lenders and each repayment and prepayment in respect of the principal amount of such the Loans of each such Lender. Failure to make any such recordation, or (absent manifest error) any error in such recordation, shall not affect the any Borrower’s 's obligations in respect of such Loans. With respect to any Lender, the transfer of the Commitment of such Lender and the rights to the principal of, and interest on, on any Loan made pursuant to such Commitment shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent Payments Administrator with respect to ownership of such Commitment and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Loans Loan shall be recorded by the Administrative Agent Payments Administrator on the Lender Register only upon the acceptance by the Administrative Agent Payments Administrator of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c11.04(b). The Borrower agrees to indemnify the Administrative Agent Payments Administrator from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent Payments Administrator in performing its duties under this Section 11.15, except to 11.16 other than those resulting from the extent attributable to the gross negligence or Payments Administrator's willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior noticegross negligence.

Failure to make any such recordation, or (absent manifest error) any error in such recordation, recordation shall not affect the Borrower’s 's obligations in respect of such Loans. With respect to any Lender, the transfer of the Commitment Commitments or Loans of such Lender and the rights to the principal of, and interest on, such Loans or any Loan made pursuant to such Commitment Commitments shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment Commitments and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment Commitments and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c11.04(b). The registration of any provision of Incremental Revolving Commitments pursuant to Section 1.14 shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance of the Administrative Agent of a properly executed and delivered Incremental Revolving Commitment Agreement. The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.1511.16 (but excluding such losses, except to claims, liabilities or liabilities incurred by reason of the extent attributable to the Administrative Agent's gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior noticemisconduct).

Failure to make any such recordation, or (absent manifest error) any error in such recordation, recordation shall not affect the Borrower’s 's obligations in respect of such Revolving Loans. With respect to any Lender, the transfer of the Commitment of such Lender Revolving Commitments and the rights to the principal of, and interest on, any Loan such Revolving Loans made pursuant to such Commitment Revolving Commitments shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment Revolving Commitments and Revolving Loans and prior to such recordation all amounts owing to the transferor with respect to such Revolving Commitment and Revolving Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments Revolving Commitment and Revolving Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c12.04(b). The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.1512.16 (but excluding such losses, except to claims, liabilities or liabilities incurred by reason of the extent attributable to the Administrative Agent's gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior noticemisconduct).

The Lender Register shall be available for inspection by the Borrower Borrowers or any Lender at any reasonable time and from time to time upon reasonable prior notice.

The Borrower hereby designates the Administrative Agent to serve as its agent, solely for purposes of this Section 11.15section 13.16, to retain a copy of each Assignment Agreement delivered to and accepted by it and to maintain a register (the “Lender Register”) on or in which it will record the names and addresses of the Lenders, and the Commitments from time to time of each of such Lenders to the LendersBorrower, the Loans made to the Borrower by each of the such Lenders and each repayment and prepayment in respect of the principal amount of such Loans of each such Lender. Failure to make any such recordation, or (absent manifest error) any error in such recordation, shall not affect the Borrower’s obligations in respect of such Loans. With respect to any Lender, the transfer of the any Commitment of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments Commitment and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(csection 13.4(c). The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior notice.

Lender Register. The Borrower hereby designates the Administrative Agent to serve as its the Borrower’s agent, solely for purposes of this Section 11.15, to maintain a register (the “Lender Register”) on or in which it will record the names and addresses of the Lenders, and the Commitments from time to time of each of the Lenders, the Loans made to the Borrower by each of the Lenders and each repayment and prepayment in respect of the principal amount of such the Loans of each such Lenderof the Lenders. Failure to make any such recordation, or (absent manifest error) any error in such recordation, recordation shall not affect the Borrower’s obligations in respect of such Loans. With respect to any Lender, the transfer of the Commitment Commitments or Loans of such Lender and the rights to the principal of, and interest on, such Loans or any Loan made pursuant to such Commitment Commitments shall not be effective until such transfer is on the date set forth in the respective assignment agreement as recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment Commitments and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment Commitments and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c11.04(b). The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.1511.15 (but excluding such losses, except to claims, liabilities or liabilities incurred by reason of the extent attributable to the Administrative Agent’s gross negligence or willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior noticemisconduct).

With respect to any LenderBank, the transfer of the Commitment of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment Loans shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c12.04(b). The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.15, except to 12.16 other than those resulting from the extent attributable to the gross negligence or Agent's willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior noticegross negligence.

With respect to any Lender, the transfer of the Commitment Commitments of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment Commitments shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment and Loans and prior to such recordation all amounts owing to the transferor with respect to such Commitment Commitments and Loans shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Loans shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(cSECTION 11.4(b). The Borrower agrees to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that which may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.15, except to the extent attributable to the gross negligence or SECTION 11.16 other than those resulting from Administrative Agent's willful misconduct of the Administrative Agent. The Lender Register shall be available for inspection by the Borrower or any Lender at any reasonable time and from time to time upon reasonable prior noticegross negligence.

With respect to any Lender, the transfer of any portion of the Commitment Term Loan of such Lender and the rights to the principal of, and interest on, any Loan made pursuant to such Commitment any portion of the Term Loan shall not be effective until such transfer is recorded on the Lender Register maintained by the Administrative Agent with respect to ownership of such Commitment and Loans portion of the Term Loan and prior to such recordation all amounts owing to the transferor with respect to such Commitment and Loans Term Loan shall remain owing to the transferor. The registration of assignment or transfer of all or part of any Commitments and Loans Term Loan shall be recorded by the Administrative Agent on the Lender Register only upon the acceptance by the Administrative Agent of a properly executed and delivered Assignment Agreement pursuant to Section 11.4(c). The Borrower agrees Borrowers agree to indemnify the Administrative Agent from and against any and all losses, claims, damages and liabilities of whatsoever nature that may be imposed on, asserted against or incurred by the Administrative Agent in performing its duties under this Section 11.15, except to for losses, claims, damages and liabilities arising from the extent attributable to the Agent’s gross negligence or willful misconduct of the Administrative Agentmisconduct.
