Lender's Right to Enter and Take Possession, Operate and Apply Income. (a) Upon the occurrence and during the continuation of an Event of Default (i) Mortgagor, upon demand of Lender, shall forthwith surrender to Lender the actual possession of the Mortgaged Property, and to the extent permitted by law, Lender itself, or by such officers or agents as it may appoint, is hereby expressly authorized to enter and take possession of all or any portion of the Mortgaged Property and may exclude Mortgagor and its agents and employees wholly therefrom. (b) If Mortgagor shall for any reason fail to surrender or deliver the Mortgaged Property or any part thereof after Lender's demand, Lender may obtain a judgment or decree conferring on Lender the right to immediate possession or requiring Mortgagor to deliver immediate possession of all or part of the Mortgaged Property to Lender, to the entry of which judgment or decree Mortgagor hereby specifically consents. Mortgagor shall pay to Lender, upon demand, all costs and expenses of obtaining such judgment or decree and reasonable compensation to Lender, its attorneys and agents, and all such costs, expenses and compensation shall, until paid, be secured by the lien of this Mortgage. (c) Upon every such entering upon or taking of possession, Lender, to the extent permitted by law, may hold, store, use, operate, manage and control the Mortgaged Property and conduct the business thereof. (d) In addition to the foregoing, Lender shall have the right, in accordance with Sections 5/15-1701 and 5/15-1702 of the Illinois Mortgage Foreclosure Law, 735 ILCS 5/15-1101 et seq., Illinois Revised Statutes (as such law may be amended, restated or replaced (the "Act"), to be placed in possession of the Mortgaged Property or at its request to have a receiver appointed, and such receiver, or Lender, if and when placed in possession, shall have, in addition to any other powers provided in this Mortgage, all powers, immunities, and duties as provided for in Sections 5/15-1701 and 5/15-1702 of the Act.

For this purpose, Borrower hereby constitutes and appoints Lender its true and lawful attorney-1101 et seq.in-fact with full power of substitution to complete the construction of the Improvements in Borrower's name and hereby empowers Lender as said attorney-in-fact to take all actions necessary in connection therewith, Illinois Revised Statutes including but not limited to the following: (as such law i) to use any funds of Borrower, including any balance which may be amendedheld in escrow and any funds which may remain unadvanced hereunder, restated for the purpose of completing the Improvements in the manner called for by the Plans and Specifications; (ii) to make such additions and changes and corrections in the Plans and Specifications which shall be necessary or replaced desirable to complete the Improvements in substantially the manner contemplated by the Plans and Specifications; (iii) to employ such contractors, subcontractors, agents, architects and engineers and inspectors as shall be required for said purposes; (iv) to pay, settle or compromise all existing or future bills and claims which are or may be liens against the "Act"), Property or which may be necessary or desirable for the completion of the Improvements or the clearance of title to the Property;(v) to execute all applications and certificates in Borrower's name which may be required by any construction contract; and to do any and every act with respect to the construction of the improvements which Borrower may do in its own behalf. It is understood and agreed that this power of attorney shall be deemed to be placed a power coupled with an interest which cannot be revoked by death or otherwise. Said attorney-in-fact shall also have power to prosecute and defend all actions or proceedings in possession connection with the construction of the Mortgaged Property or at 35 36 Improvements and to take such action and require such performance as it deems necessary.
