Common use of Lessee and Guarantor Incumbency Certificate Clause in Contracts

Lessee and Guarantor Incumbency Certificate. On the Initial Closing Date, the Agent and the Investors shall have received a certificate of the Lessee and each Guarantor, dated the Initial Closing Date, as to the incumbency and signature of the officers of the Lessee and each Guarantor executing any Operative Agreement reasonably satisfactory in form and substance to the Agent and both Investors, executed by the President or any Vice President and the Secretary or any Assistant Secretary of the Lessee or of such Guarantor;
