Common use of Lessee's Certificate Clause in Contracts

Lessee's Certificate. Lessee shall, upon not less than ten (10) days prior Notice from Lessor, execute, acknowledge and deliver to Lessor Lessee’s Certificate containing then-current facts. It is intended that any Lxxxxx’s Certificate delivered pursuant hereto may be relied upon by Lxxxxx, any prospective tenant or purchaser of the Leased Properties, any mortgagee or prospective mortgagee and any other party who reasonably may rely on such statement. Lxxxxx’s failure to deliver the Lessee’s Certificate within such time shall constitute an Event of Default. In addition, if Lessee fails to deliver the Lessee’s Certificate within the ten (10) day period referred to above, Lessee hereby authorizes Lessor to execute and deliver a certificate to the effect (if true) that Lessee represents and warrants that (a) this Lease is in full force and effect without modification, and (b) Lessor is not in breach or default of any of its obligations under this Lease.

In addition, if Lessee fails to deliver the Lessee’s Certificate within the ten (10) day period referred to above, Lessee Xxxxxx hereby authorizes Lessor to execute and deliver a certificate to the effect (if true) that Lessee represents and warrants that (ai) this Lease is in full force and effect without modification, and (bii) Lessor is not in breach or default of any of its obligations under this Lease.
