Common use of Lessee's Certificate Clause in Contracts

Lessee's Certificate. Lessee shall, upon not less than ten (10) days prior Notice from Lessor, execute, acknowledge and deliver to Lessor a Lessee's Certificate containing then-current facts. It is intended that any Xxxxxx's Certificate delivered pursuant hereto may be relied upon by Xxxxxx, any prospective tenant or purchaser of the Leased Properties, any mortgagee or prospective mortgagee, and by any other party who may reasonably rely on such statement. Xxxxxx's failure to deliver the Lessee's Certificate within such time shall constitute an Event of Default. In addition, Xxxxxx hereby authorizes Lessor to execute and deliver a certificate to the effect (if true) that Lessee represents and warrants that (i) this Lease is in full force and effect without modification, and (ii) Lessor is not in breach or default of any of its obligations under this Lease.
