Common use of Lessor Recourse Clause in Contracts

Lessor Recourse. No recourse shall be had against the Lessor or the Administrative Agent or their successors and assigns and their directors, officers, shareholders, employees or agents for any claim based on any failure by the Lessor or the Administrative Agent in the performance or observance of any of the agreements, covenants or provisions contained in this Lease or any other Operative Documents; and in the event of any such failure, recourse shall be had solely against the rights and interests of the Lessor in the Facility; provided, that the foregoing shall not relieve (i) any such director, officer or employee of personal liability for his or her fraud or intentional misconduct or (ii) Lessee from its obligation not to create or permit the existence of “Lessor Liens,” as defined in Section 16(a)(i) hereof.
