Common use of LESSOR TO GRANT EASEMENTS Clause in Contracts

LESSOR TO GRANT EASEMENTS. Lessor will, from time to time so long as no Event of Default has occurred and is continuing, at the request of Lessee and at Lessee's cost and expense, but subject to the reasonable approval of Lessor (a) grant easements and other rights in the nature of easements, (b) release existing easements or other rights in the nature of easements which are for the benefit of the Leased Property, (c) dedicate or transfer unimproved portions of the Leased Property for road, highway or other public purposes, (d) execute petitions to have the Leased Property annexed to any municipal corporation or utility district, (e) execute amendments to any covenants and restrictions affecting the Leased Property and (f) execute and deliver to any person any instrument appropriate to confirm or effect such grants, releases, dedications and transfers (to the extent of its interest in the Leased Property), but only upon delivery to Lessor of an Officer's Certificate stating (and such other information as Lessor may reasonably require confirming) that such grant, release, dedication, transfer, petition or amendment is required for and not detrimental to the proper conduct of the Primary Intended Use on the Leased Property and does not reduce its value.

LESSOR TO GRANT EASEMENTS. Lessor will, from time to time so long as no Event default, and no event has occurred which with the giving of Default notice or the passage of time or both would constitute a default, has occurred and is continuingcontinuing under this Lease, the Other Leases, at the request of Lessee and at Lessee's cost and expense, but subject to the reasonable approval of Lessor (a) grant easements and other rights in the nature of easements, (b) release existing easements or other rights in the nature of easements which are for the benefit of the Leased Property, (c) dedicate or transfer unimproved portions of the Leased Property for road, highway or other public purposes, (d) execute petitions to have the Leased Property annexed to any municipal corporation or utility district, (e) execute amendments to any covenants and restrictions affecting the Leased Property and (f) execute and deliver to any person any instrument appropriate to confirm or effect such grants, releases, dedications and transfers (to the extent of its interest in the Leased Property), but only upon delivery to Lessor of an Officer's Certificate stating (and such other information as Lessor may reasonably require confirming) that such grant, release, dedication, transfer, petition or amendment is required for and not detrimental to the proper conduct of the Primary Intended Use on the Leased Property and does not reduce its value.

To the extent permitted by the Ground Lease, Lessor will, from time to time so long as no Event of Default has occurred and is continuingtime, at the request of Lessee and at Lessee's ’s cost and expense, but subject to the reasonable approval of Lessor (a) grant easements and other rights in the nature of easements, (b) release existing easements or other rights in the nature of easements which are for the benefit of the Leased Property, (c) dedicate or transfer unimproved portions of the Leased Property for road, highway or other public purposes, (d) execute petitions to have the Leased Property annexed to any municipal corporation or utility district, (e) execute amendments to any covenants and restrictions affecting the Leased Property and (f) execute and deliver to any person any instrument appropriate to confirm or effect such grants, releases, dedications and transfers (to the extent of its interest in the Leased Property), but only upon delivery to Lessor of an Officer's ’s Certificate stating (and such other information as Lessor may reasonably require confirming) that such grant, release, dedication, transfer, petition or amendment is required or beneficial for and not detrimental to the proper conduct of the Primary Intended Use business of Lessee on the Leased Property and does not reduce its value.

Lessor will, from time to time so long as no Event of Default has occurred and is continuingtime, at the request of Lessee and at Lessee's cost and expense, but subject to the reasonable approval of Lessor (which approval will not be unreasonably withheld), (a) grant easements and other rights in the nature of easements, (b) release existing easements or other rights in the nature of easements which are for the benefit of the Leased Property, (c) dedicate or transfer unimproved portions of the Leased Property for road, highway or other public purposes, (d) execute petitions to have the Leased Property annexed to any municipal corporation or utility district, (e) execute amendments to any covenants and restrictions affecting the Leased Property Property, and (f) execute and deliver to any person any instrument such instruments as may be necessary or appropriate to confirm or effect such grants, releases, dedications and transfers (to the extent of its interest in the Leased Property), but only upon delivery to Lessor of an Officer's Certificate stating (and such other information as Lessor may reasonably require confirming) that such grant, release, dedication, transfer, petition or amendment is required or beneficial for and not detrimental to the proper conduct of the Primary Intended Use business of Lessee on the Leased Property and does not reduce its valuethe value thereof.

Lessor will, from From time to time during the Term, upon the request of Lessee, and so long as no Event of Default exists and no event has then occurred and is continuingwhich with the giving of notice or the passage of time or both would constitute such an Event of Default, at Lessor may, in its reasonable discretion, subject to the request terms of Lessee the Shasta Ground Lease (if applicable), and at Lessee's ’s cost and expense, but subject to the reasonable approval of Lessor (a) grant easements and other rights in the nature of easements, ; (b) release existing easements or other rights in the nature of easements which are for the benefit of the Leased Property, ; (c) dedicate or transfer unimproved portions of the Leased Property for road, highway or other public purposes, ; (d) execute petitions to have the Leased Property annexed to any municipal corporation or utility district, ; (e) execute amendments to any covenants and restrictions affecting the Leased Property Property; and (f) execute and deliver to any person any instrument appropriate to confirm or effect such grants, releases, dedications and transfers (to the extent of its interest in the Leased Property), but only upon delivery to Lessor of an Officer's Certificate stating (and such other information as Lessor may reasonably require confirming) confirming that such grant, release, dedication, transfer, petition or amendment is required for for, and not detrimental to to, the proper conduct of the Primary Intended Use on the Leased Property and does not reduce its valuethe value of the Leased Property.
