Lessor's Undertakings Sample Clauses
Lessor's Undertakings. The Lessor hereby undertakes to the Lessee and SAS BV that throughout the Lease Term and for so long as any obligations of the Lessor under this Agreement remain to be performed:
(a) it will not sell or otherwise transfer its title to the Aircraft or any part thereof or its interest therein, unless otherwise provided for in this Agreement or any of the other Lessee Documents to which the Lessee is a party or after having obtained the prior written consent of the Lessee;
(b) it shall not create or permit to exist any Lessor's Lien (other than Permitted Liens) on or with respect to the Aircraft, title thereto or any interest therein and that it will promptly, at its own expense, take such action as may be necessary duly to discharge any such Lessor's Lien;
(c) without prejudice to the Lessee's obligations under this Agreement or pursuant to applicable law, it shall obtain, make and maintain in full force and effect, promptly renew from time to time and comply with the terms of all consents, permissions, licences, authorisations, approvals, registrations and filings in Bermuda, the United States of America and in any other jurisdiction in which the Lessor has actual knowledge that any of the foregoing are so necessary, which may from time to time be necessary in order to enable it to perform its obligations under this Agreement or any other Lessee Document to which it is a party or for the legality, validity, enforceability or admissibility in evidence hereof or thereof;
(d) it shall notify the Lessee and SAS BV within ten (10) Banking Days of obtaining or receiving actual knowledge of any change in law which would require payment by the Lessee, SAS BV or the Lessor of any additional amount in respect of withholding Taxes pursuant to this Agreement but any failure of the Lessor so to do shall not affect or derogate from the obligations of the Lessee or SAS BV (as applicable) hereunder or under any other Lessee Document or result in any liability (or increased liability) of the Lessor under this Agreement or any other Lessee Document;
(e) it shall promptly forward to the Lessee a copy of any notices relating to the Lessee's obligations hereunder with respect to the Aircraft received by it from any appropriate authority;
(f) it shall promptly discharge all or any Taxes which are payable by it from time to time against which it is not entitled to be indemnified under any Lessee Document and which if not discharged would materially and adversely affect the rights...
Lessor's Undertakings. As long as the lessee respects the obligations laid down in the present contract, the lessor undertakes to do the following, at the lessee’s explicit request and in response to its indications: • realise and/or have others realise, under the conditions set forth below, and finance the property project described in the premises. • rent the said property complex to the lessee, within the framework of a leasing transaction in accordance with articles L 313-7 et seq. of the Monetary and Financial Code, and (with) the subsequent texts. The ceiling on the financing granted by the lessor is set in the Special Conditions. Any overrun will be for the lessee’s account, the elements or parts of elements that the latter finances becoming, by accession and without any indemnity, the property of the lessor, as of the time they are incorporated into the whole. The lessor shall not make any payment before it becomes, by means of a notarised document, the owner of the land parcel on which the construction is to be put up, or the holder of a real property right to the said land parcel.
