Letter of Credit Fees; Fronting Fees. The Borrower shall pay to the Agent with respect to each Letter of Credit issued hereunder a quarterly letter of credit fee ("Letter of Credit Fee") equal to 0.85% per annum of the face amount of such Letter of Credit, and a quarterly fronting fee equal to 0.10% per annum of the face amount of such Letter of Credit (the "Fronting Fee"), in each case payable on the Closing Date and quarterly in advance. Letter of Credit Fees and Fronting Fees payable hereunder shall be computed on the basis of a year of 360 days and paid for the actual number of days elapsed (including the first day but excluding the last day). The Agent shall promptly remit such Letter of Credit Fees, when paid, to the Banks in accordance with their Commitment Percentages thereof. The Fronting Fees shall be solely for the account of the Agent.
