Letter of the Company's Accountants Clause Samples

Letter of the Company's Accountants. The Company shall use its reasonable best efforts to cause to be delivered to Parent a letter of Ernst & Young LLP, the Company's independent public accountants, dated a date within two business days before the date on which the S-4 shall become effective and addressed to Parent and the Company, in form and substance reasonably satisfactory to Parent and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the S-4.

Letter of the Company's Accountants. The Company shall use reasonable efforts to cause to be delivered to Parent a letter of Price Waterhouse LLP, the Company's independent public accountants, dated a date within two business days before the date on which the Form S-4 shall become effective and addressed to Parent, in form and substance reasonably satisfactory to Parent and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Form S-4.

Letter of the Company's Accountants. The Company shall use commercially reasonable efforts to cause to be delivered to Parent a letter of KPMG LLP, dated no more than two business days before the date on which the Form S-4 Registration Statement becomes effective (and reasonably satisfactory in form and substance to Parent), that is customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Form S-4 Registration Statement.

Letter of the Company's Accountants. The Company shall use reasonable efforts to cause to be delivered to the Company and Parent a letter of Deloitte & Touche, LLP, the Company's independent public accountants, dated a date within two business days before the date on which the Form S-4 shall become effective and addressed to Parent, in form and substance reasonably satisfactory to Parent and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Form S-4.

Letter of the Company's Accountants. The Company shall use its best commercial efforts to cause to be delivered to Parent a letter of ▇▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ ▇▇▇▇, LLC, the Company's independent accountant, dated a date within two (2) Business Days before the date on which the S-4 shall become effective and addressed to Parent, in form and substance reasonably satisfactory to Parent and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the S-4 (and, if requested, a bring-down comfort letter at the closing of the Merger).

Letter of the Company's Accountants. The Company shall use its reasonable best efforts to cause to be delivered to Parent a letter of Ernst & Young llp, dated no more than two business days before the date on which the Form S-4 Registration Statement becomes effective (and reasonably satisfactory in form and substance to Parent), that is customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Form S-4 Registration Statement.

Letter of the Company's Accountants. The Company shall use its ----------------------------------- reasonable best efforts to cause to be delivered to Evergreen a letter of Coopers & ▇▇▇▇▇▇▇ LLP, the Company's independent public accountants, and any other independent public accountants whose report would be required to be included in the Form S-4 pursuant to the rules and regulations under the Securities Act, each dated a date within two business days before the date on which the Form S-4 shall become effective and an additional letter from each of them dated a date within two business days before the Closing Date, each addressed to Evergreen, in form and substance reasonably satisfactory to Evergreen and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Form S-4.

Letter of the Company's Accountants. The Company shall use its best efforts to cause to be delivered to EVI a letter of Arth▇▇ ▇▇▇e▇▇▇▇ ▇▇▇, the Company's independent public accountants, dated a date within two business days before the date on which the Registration Statement shall become effective and addressed to EVI and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the Registration Statement. In connection with the Company's efforts to obtain such letter, if requested by Arth▇▇ ▇▇▇e▇▇▇▇ ▇▇▇, EVI shall provide a representation letter to Arth▇▇ ▇▇▇e▇▇▇▇ ▇▇▇ complying with Statement of Auditing Standards No. 72 ("SAS 72"), if then required.
