Common use of Letter of the Company's Accountants Clause in Contracts

Letter of the Company's Accountants. The Company shall use its reasonable best efforts to cause to be delivered to Parent a letter of Ernst & Young LLP, the Company's independent public accountants, dated a date within two business days before the date on which the S-4 shall become effective and addressed to Parent and the Company, in form and substance reasonably satisfactory to Parent and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the S-4.

Letter of the Company's Accountants. The Company shall use its commercially reasonable best efforts to cause to be delivered to Parent a letter of and Sub two letters from Ernst & Young LLP, the Company's independent public accountants, one dated a date within two business days before the date on which the S-4 shall become effective and one dated two business days before the Effective Time, each addressed to Parent and the Company, in form and substance reasonably satisfactory to Parent Sub and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the S-4.

The Company shall use its reasonable best efforts to cause to be delivered to Parent a letter of Ernst & Young LLP, the Company's independent public accountants, dated a date within no more than two (2) business days before the date on which the Form S-4 shall become Registration Statement becomes effective (and addressed to Parent and the Company, reasonably satisfactory in form and substance reasonably satisfactory to Parent and Parent), that is customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the S-4Form S-4 Registration Statement.

The Company shall use its commercially reasonable best efforts to cause to be delivered to Parent a letter of Ernst & Young LLP, the Company's independent public accountants, dated a date within no more than two business days before the date on which the Form S-4 shall become effective and addressed to Parent and the CompanyRegistration Statement becomes effective, in form and substance reasonably satisfactory to Parent and that is customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the S-4Form S-4 Registration Statement.

The Company shall use its commercially reasonable best efforts to cause to be delivered to Parent a letter of Ernst & Young BDO Xxxxxxx, LLP, the Company's independent public accountants, dated a date within two business days before the date on which the S-4 shall become effective and addressed to Parent and the Company, in form and substance reasonably satisfactory to Parent and customary in scope and substance for letters delivered by independent public accountants in connection with registration statements similar to the S-4.
