Common use of Letters in Lieu of Transfer Orders; Division Orders Clause in Contracts

Letters in Lieu of Transfer Orders; Division Orders. Promptly upon request by the Noteholder Agent at any time and from time to time, execute such letters in lieu of transfer orders, in addition to the letters signed by the Borrower and delivered to the Collateral Agent and/or division and/or transfer orders as are necessary or appropriate to transfer and deliver to the Noteholder Agent proceeds from or attributable to any Mortgaged Property.

Letters in Lieu of Transfer Orders; Division Orders. Promptly upon request by the Noteholder Administrative Agent at any time and from time to time, execute such letters in lieu of transfer orders, in addition to the letters signed by the Borrower Borrowers and delivered to the Collateral Administrative Agent in satisfaction of the covenant set forth in Section 5.27(b), and/or division and/or transfer orders as are necessary or appropriate to transfer and deliver to the Noteholder Administrative Agent proceeds from or attributable to any Mortgaged Property. The above shall only be used if there is a Default or Event of Default.
