Common use of Letters of Accountants Clause in Contracts

Letters of Accountants. (a) The Company shall use its reasonable best efforts to cause to be delivered to Parent "comfort" letters of Deloitte & Touche LLP, the Company's independent public accountants, dated the effective date of the Form S-4 and the Closing Date, respectively, and addressed to Parent with regard to certain financial information regarding the Company included in the Form S-4, in form reasonably satisfactory to Parent and customary in scope and substance for "comfort" letters delivered by independent public accountants in connection with registration statements similar to the Form S-4. (b) Parent shall use its reasonable best efforts to cause to be delivered to the Company "comfort" letters of Deloitte & Touche LLP, Parent's independent public accountants, dated the effective date of the Form S-4 and the Closing Date, respectively, and addressed to the Company, with regard to certain financial information regarding Parent included in the Form S-4, in form reasonably satisfactory to the Company and customary in scope and substance for "comfort" letters delivered by independent public accountants in connection with registration statements similar to the Form S-4.

(a) The Company shall use its commercially reasonable best efforts to cause to be delivered to Parent "comfort" letters of Deloitte & Touche PricewaterhouseCoopers LLP, the Company's independent public accountants, dated the effective date of the Form S-4 F-4 and the Closing Date, respectively, and addressed to Parent with regard to certain financial information regarding the Company included in the Form S-4and its directors and Parent and its directors, in form reasonably satisfactory to Parent and customary in scope and substance for "comfort" letters delivered by independent public accountants in connection with registration statements similar to the Form S-4F-4. (b) Parent shall use its commercially reasonable best efforts to cause to be delivered to the Company "comfort" letters of Deloitte & Touche LLPXxxxxx Xxxxxxxx, Parent's independent public accountants, dated the effective date of the Form S-4 F-4 and the Closing Date, respectively, and addressed to Parent and its directors and the Company, with regard to certain financial information regarding Parent included in the Form S-4Company and its directors, in form reasonably satisfactory to the Company and customary in scope and substance for "comfort" letters delivered by independent public accountants in connection with registration statements similar to the Form S-4F-4.

(b) Parent shall use its commercially reasonable best efforts to cause to be delivered to the Company "comfort" letters of Deloitte Ernst & Touche Young LLP and PricewaterhouseCoopers LLP, Parent's independent public accountants, dated the effective date of the Form S-4 and the Closing Date, respectively, and addressed to the Company, with regard to certain financial information regarding Parent included in the Form S-4, in form reasonably satisfactory to the Company and customary in scope and substance for "comfort" letters delivered by independent public accountants in connection with registration statements similar to the Form S-4.
